Operacje na papierach wartościowych § 143

1. Operacjami na papierach wartościowych są czynności wykonywane w systemie depozytowym,inne niż rozrachunki transakcji, których skutkiem jest odzwierciedlenie w tym systemie zmianytreści praw z papierów wartościowych lub innych cech papierów wartościowych albo emisjipapierów wartościowych.

2. Operacjami na papierach wartościowych są w szczególności:
1) wymiana papierów wartościowych,
2) asymilacja papierów wartościowych,
3) wycofanie papierów wartościowych z depozytu,
4) konwersja papierów wartościowych imiennych na papiery wartościowe na okaziciela lub odwrotnie,
5) zamiana papierów wartościowych.

3. Operacje na papierach wartościowych rejestrowanych w depozycie poprzez połączenie operacyjnedo innego CSD, z wyłączeniem operacji wycofania takich papierów wartościowych z depozytu bezustania ich bytu prawnego, przeprowadzane są na podstawie informacji otrzymanych przezKrajowy Depozyt od podmiotu, o którym mowa w § 67 ust.2, prowadzącego dla KrajowegoDepozytu odpowiednie konta ewidencyjne, na których te papiery wartościowe są rejestrowane

Exchange 9. Exchange.

(a) Conditions.

(i) Subject to contractual and other restrictions with respect thereto, including restrictions imposed by the Bank Facility, the Corporation may, at its option on any Dividend Payment Date (herein the “Exchange Date”), exchange all, but not less than all, of the then outstanding shares of 10% Preferred Stock into the Series A Junior Subordinated Debentures.

To exchange 10% Preferred Stock into Series A Junior Subordinated Debentures, the Corporation shall send a written notice (the “Exchange Notice”) of exchange by first-class mail to each Holder of shares of 10% Preferred Stock, which notice shall state: (
