Good morning,

I am translating a distribution contract (non exclusive) and I am stuck with the final part of the sentence below (poorly written):

"Notwithstanding this reservation of title and ownership, the DISTRIBUTION PARTNER is entitled to resale the Contract Products within the regular scope of business; however, for the event of such resale to third parties, the DISTRIBUTION PARTNER agrees to and hereby allows PÖTTINGER to assign all claims towards third parties accruing to it there from to PÖTTINGER for the purpose of providing security for PÖTTINGER’s outstanding claims".

The segment : "to assign all claims towards third parties accruing to it there from to PÖTTINGER for the purpose of providing security for PÖTTINGER’s outstanding claims" is hard for me to understand.

My first try:
[...] le PARTENAIRE DISTRIBUTEUR accepte et autorise PÖTTINGER à céder aux tiers toutes les créances qui en résultent (de la vente des produits contractuels), dans le but de fournir une garantie pour les créances en suspens de PÖTTINGER.

Le texte anglais me semble très mal construit mais ai-je bien compris le sens ?

disagree  Daryo: where is this "accroîtant" coming from ???? The only 20-odd ghits are samples where it should be "accroissant" instead, which is wrong for this ST

A claim "accrues" when the thing happens that gives Party A a legal claim (i.e., reason to file a lawsuit) against Party B. Or to put it another way, it accrues when Party B does something wrong which gives Party A reason to sue Party B.

A claim accrues "from" the set of facts or acts that cause a claim to exist. For instance, if A drives carelessly and hits B's car, B's claim "accrues from" A's negligent driving.

So in this context, it just means results or arises from. "Therefrom" (usually one word -- OP, the two-word phrase may be a typo) means "from the thing that was just mentioned," so in this case, from resale to third parties.

"En découler" is the usual FR translation of the EN "arise therefrom." It works here.

agree  Germaine: ou "qui s’y rattachent", ou "afférentes".// les créances "qui découlent" des REsales (not all sales!) s’y "rattachent" nécessairement, y "touchent", s’y rapportent. En FR, ces synonymes sont au moins aussi "narrow" que "découlent", sinon plus.
