Dear All,
I am translating a sale share agreement relating to "Raffineries" and remediating a Site.
In the definition clause, it says:
Environmental liabilities : means losses, costs, expenses, actions, proceedings, claims, demands and any liability in relation with Environmental Matters, including any liability (actual or contigent) to make good, repair, treat or remediate any of the Property and of land adjoining the Site.
Then later in the contract, "the purpose of the Audit is to determine the current environmental condition of the Site, knowing that the Company has no contractual liability for any pollution and related environmental liabilities with damages from the second war. The Audit shall be conducted in such a manner as to allow such liability to be identified separetely from the liability attributable to the Company."
At first, I thought that Environmental liabilities would be Passif environnemental (because of the costs, expenses, losses, etc) but then realized it could mean Responsabilité environnementale.
As for the second part in the Contract, I thought Reponsabilité environnementale would fit better than Passif environnemental : "L’objectif de l’Audit est de déterminer l’état environnemental actuel du Site, en sachant que la Société n’a aucune responsabilité contractuelle en matière de pollution et de responsabilité environnementale liée aux dommages causés par la Seconde Guerre mondiale. L’Audit est mené de manière à ce que cette responsabilité puisse être identifiée séparément de la responsabilité imputable à la Société."
