Does anyone know where to find German equivalents to the legal jargon of this type of power or attorney or the standard form of power of attorney used in the issue of shares in German?
"KNOW ALL MEN BY THESE PRESENTS that each person whose signature appears below hereby appoints ●, and each of them acting singly, as his true and lawful attorney-in-fact to sign in his behalf and individually and in the capacity stated below and to file all amendments (including post-effective amendments) and the same offering that may be filed under Rule 462(b), and to file the same, with all exhibits thereto, and other documents in connection therewith, with the Securities and Exchange Commission, granting unto said attorney-in-fact and agents full power and authority to do and perform each and every act and thing requisite and necessary to be done in and about the premises, as fully to all intents and purposes as he might or could do in person, hereby ratifying and confirming all that said attorneys-in-fact and agents, or any of them, their substitute or substitutes may lawfully do or cause to be done by virtue hereof."

Excerpt from the introduction on Vollmachtmustervertraege:
Wer ein Rechtsgeschäft tätigt, wird daraus berechtigt und verpflichtet. Die Folgen des Rechtsgeschäft treffen den Handelnden, z.B. den Käufer, unmittelbar selbst. Etwas anderes gilt bei der Stellvertretung, wenn der Erklärende die Willenserklärung im
fremden Namen abgibt und damit zum Ausdruck bringt, daß die Folgen der Erklärung nicht ihn sondern einen anderen treffen sollen.

Die von einem Vertreter abgegebene Willenserklärung wirkt für und gegen denjenigen, für den gehandelt worden ist, also für und gegen den Vertretenen, wenn der Vertreter zum Zeitpunkt seines rechtsgeschäftlichen Handelns Vertretungsmacht besaß.

An einer Stellvertretung sind im Normalfall drei Personen beteiligt:
- der Vertreter, der die Willenserklärung im fremden Namen abgibt
- der Vertretene, bei dem die Rechtsfolgen der angegebenen Willenserklärung eintreten sollen
- der Dritte (Vertragspartner), mit dem das Rechtsgeschäft vorgenommen wird

It's quite a task, after umpteen pages of financial text to end up with antiquated legal jargon right at the end, and I had hoped to polish off the document by utilising similar gibberish in German usage. In the end I had to settle for a translation of the meaning. Thanks again."
