English to Russian Other Law: Contract(s)

For purposes herein, the term “Fully Diluted Basis” shall have the meaning ascribed to such term under the Series D-1 and Series D-2 Share Purchase Agreement dated May 16, 2019, by and between the Company and the investors listed therein (the “Series D SPA”), excluding, for clarity, all Series D-1 Preferred Shares issued or issuable under the Series D SPA, and including a minimum 10% post full investment free ESOP reserve (unallocated and un-promised). For avoidance of doubt, Series D-2 Shares issued upon conversion of certain Company convertible securities (including any discount and interest associated therewith) in connection with the Series D SPA shall be taken into account on a pre-money basis.
