4.2.7.1. BUYER / DISTRIBUTOR acknowledge and agree that the amount of actual damages sustained by diversion is impossible or extremely difficult to calculate, and that the damage increases on an exponential (and not linear) basis, due to the effect of the product brand and associated goodwill and reputation. In the event any Product is diverted to any country outside the Territory in any manner by anyone (a “Diversion Event”), then in addition to any other remedies ... may be entitled to at law or in equity, ... shall be entitled to injunctive relief and to damages, calculated in the manner set forth in Section 4.2.7.2 below.

Есть термин "параллельный импорт", но я бы дал более описательный перевод.
Например, когда в РФ продаются товары, официально не поставляемые в РФ. Неудовлетворительное качество товара, сервиса таких "продавцов", отсутствие гарантии, возможность продажи просроченного/некачественного создает негативный имидж для бренда, поэтому diversion - плохое явление : )
