Колега Богдане, мислим да је овде једноставно ’гласови/гласање’ сасвим задовољавајући превод. А како се то гласање обавља и под којим условима, то је увек много детаљније описано у ширем тексту статута (Articles of Association) привредног друштва – мислим да тиме не би требало оптерећивати овај превод (поготову ако је то у наслову). BTW, у оваквим случајевима углавном важи правило ’једна акција – један глас’ (ако је одговарајуће класе – тј. са правом гласа за конкретну одлуку), тако да ту нема никаквог смисла гласање дизањем руке (као у систему ’један човек – један глас’).

Polls must be taken immediately and in such a manner as the chairman of the meeting directs.

It all has to do with the effective Law of the country and the provisions of the Articles of Incorporation of a company. In some cases, simple majority is required for some decisions, while more significant decisions require a 2/3 majority vote (e.g. a Loan, Capital reduction, etc). In some companies it is a way of protecting minor shareholders as is opting for direct or cumulative voting.

That is why I advised that the context should be considered when choosing a term. I don't have insight into the full text, so I can only try and infer what is meant.

Ballots (glasački listići) are not always used in shareholder meetings, but my proof of that is strictly my own interpreting experience, and I accept the possibility that in other countries they may be the norm.

Count of hands raised by attendees without taking into account their shares, in my experience at least, is often used to take decisions which are relevant only to that particular meeting (e.g. appointing a minute taker)

To conclude: Majority may be defined differently in Articles of Incorporation and ballots are not always used. But I did enjoy this exchange. Thank you once again.

a "poll vote" is how theoretically every vote should be done - counting how many shares hold those who vote for or against. In an AGM the "voting right" is linked with the number of shares NOT with the number of people/shareholder.

For convenience ONLY and if no one opposes it, a vote by a different method like show of hands can be used if an obvious overwhelming majority is expected.

In the context of company law this a just a tolerated quick-fix / rough approximation, NOTHING to do with voting by show of hands in the context of politics, which is a completely different story.
