Like a registered vs. bearer shareholder, the noteholder may not physically 'hold' or be in possession of the certificates or notes cf. tenedor(a) de pagaré (Robb & Butterworths).

Notes: as negotiable instruments could be: promissory, notes of hand or even IOUs.
