IX Ustupanje ugovora

Uslovi ustupanja

Član 145

(1) Svaka strana u dvostranom ugovoru može, ako na to pristane druga strana, ustupiti ugovor nekom trećem licu, koje time postaje nosilac svih njenih prava i obaveza iz tog ugovora.

(2) Ustupanjem ugovora ugovorni odnos između ustupioca i druge strane prelazi na prijemnika i drugu stranu u času kad je druga strana pristala na ustupanje, a ako je druga strana dala svoj pristanak unapred, u času kad je obaveštena o ustupanju.

(3) Pristanak na ustupanje ugovora je punovažan samo ako je dat u formi u zakonu propisanoj za ustupljeni ugovor.

(4) Odredbe o sporednim pravima u vezi sa ugovorom o preuzimanju duga shodno će se primeniti i na ustupanje ugovora.

Odgovornost ustupioca

Član 146

(1) Ustupilac odgovara prijemniku za punovažnost ustupljenog ugovora.

(2) On mu ne jemči da će druga strana ispuniti svoje obaveze iz ustupljenog ugovora, osim ako se na to naročito obavezao.

(3) On ne jemči drugoj strani da će prijemnik ispuniti obaveze iz ugovora, osim ako se na to naročito obavezao.

Član 147

Druga strana može istaći prijemniku sve prigovore iz ustupljenog ugovora, kao i one koje ima iz drugih odnosa sa njim, ali ne i prigovore koje ima prema ustupiocu.

Obično izraz glasi: successors in title, permitted assigns and permitted transferees
pravni sledbenici, lica kojima su prava ustupljena ili preneta (novi korisnici prava)

Tačno je i da su to cesionari (novi poverioci) ali time se ograničavamo na ustupanje potraživanja

disagree Daryo : what happened to "permitted"? that seems to be the key element? One side can not assign its part of the contract to just anyone, it's got to be done with "permission" i.e. only within the "permitted limits" as defined by law or the contract!

Kao što se vidi i iz vašeg odgovora, prava se ni ne mogu smatrati ustupljenim sem ako su ustupljena u skladu sa zakonom. / Zanima me kako biste preveli kompletan izraz tj. p. transferees? BTW Happy New Year! :-)

LUČKE UPRAVE RIJEKA, javne neprofitne ustanove, osnovane odlukom Vlade iz 1996. godine (Narodne novine broj 42/96, sa izmjenama), temeljem Zakona o morskim lukama iz 1995. godine (Narodne novine br. 108/95, 6/96, 137/99 i 97/03), sa brojem upisa u sudski registar Trgovačkog suda u Rijeci [broj] i sjedištem na adresi Riva 1, 51 000 Rijeka, Hrvatska (dalje u tekstu: “Davatelj koncesije”, koji izraz uključuje pravne sljednike Davatelja koncesije, te osobe na koje je izršen dopušteni prijenos ovog Ugovora);

Ovaj se Ugovor sklapa u korist i obvezuje Ugovorne strane, te njihove pravne sljednike i osobe na koje je na dopušten način ustupljen ili prenesen.


11. Assignment. Neither Party may assign the Agreement without consent from the other Party, which consent shall not be unreasonably withheld. Subject to the foregoing, the Agreement shall ensure to the benefit of and be binding upon the successors and permitted assigns of the Parties.

11. Prijenos ugovora. Nijedna od Strana ne može prenijeti ovaj Ugovor bez suglasnosti druge Strane, čija suglasnost neće biti uskraćena bez razloga. Sukladno navedenom, ovaj Ugovor osigurava u korist i obvezuje slijednike i dopuštene pravne nasljednike ugovornih Strana.
