Hi everyone,

I am translating a certificate confirming the details of a company set up in Panama.

I am confused by this phrase because it seems to refer to 2 different things.

It appears in the sentence: "El capital social autorizado sera de XXX dolares, dividido en 100 acciones comunes con un valor nominal de XXX dolares cada una, las cuales se emitiran al portador nominativas".

I thought "al portador" meant "bearer shares" and "nominativas" meant "registered shares" so I'm not sure why it says both and the grammar is also confusing me. Is something missing?

It is followed by another part that says: "Acciones: nominativas o al portador".

Does it not have to be one or the other?

I am translating this into UK English.

Kerryann Broughton (asker) Jul 26, 2019: Thanks for all your help everyone. I went with “as bearer shares or registered shares” in the end as I think there was a mistake in the source text. Thanks for confirming my thoughts.

philgoddard Jul 17, 2019: They possibly left out "o" or "y". I'm pretty sure it's a mistake.
liz askew Jul 17, 2019: doesn't it just mean las cuales refers to "shares" so the shares will be issued to the bearer as registered shares. Although admittedly this is not my area!!
