TERMS OF PARTICIPATION
1. Eligibility and rules of origin

Section 154

(1) A joint stock company (in Czech "akciova spolecnost") is a company whose registered capital is divided into a certain number of shares with a specific nominal value. The company is liable for a breach of its obligations (debts) with its entire property. A shareholder is not liable for the company's obligations;

(2) The commercial name of such company must include the designation "akciova spolecnost" ("joint stock company") or the abbreviation "akc. spol." or "a.s.".

Commentary on section 154;

The provisions of the Joint Stock Companies Act were superseded by the provisions of the Commercial Code. Joint stock companies (also sometimes referred to as "stock corporations") are usually formed only for the purpose of carrying on business activities, but they may also undertake other activities. The legal form of a joint stock company was the legal form into which former state-owned enterprises were transformed and in which (he state was initially the sole owner (prior to their privatization). Other Acts stipulate that investment funds, investment companies, pension funds and banks (unless established as state pecuniary institutions) must be in the legal form of a joint stock company. The amount of a joint stock company's registered (share) capital corresponds to the total nominal value of its shares. The amount of registered capital (i.e. share capital) is entered in the Commercial Register. The property of a joint stock company does not belong to its shareholders, but solely to the company. However, once a shareholder has fully paid up his investment contribution to a joint stock company, he is not liable for the company's obligations (debts) during its existence, and after its dissolution he is liable only up to the amount of his liquidation share. The commercial name of a joint stock company must include an addendum specifying its legal form.

Разпоредбите на Закона за акционерните дружества са заменени от разпоредбите на Търговския закон. Акционерните дружества, (понякога наричани „капиталови корпорации”), обикновено се сформират единствено с цел извършването на бизнес дейности, но те могат да извършват и други дейности. Правната форма на акционерното дружество е тази, в която бившите държавни предприятия бяха трансформирани и в която първоначално държавата беше едноличен собственик (преди тяхната приватизация). Други закони предвиждат, че инвестиционните фондове, инвестиционните компании, пенсионните фондове и банките (освен ако не са учредени като държавни финансови институции), трябва да бъдат акционерни дружества. Уставният капитал на акционерните дружества съответства на общата номинална стойност на техните акции. Уставният капитал (т.е. акционерният капитал) се вписва в Търговския регистър. Имуществото на акционерното дружество не принадлежи на неговите акционери, а единствено на компанията. След като даден акционер напълно изплати своя инвестиционен дял на акционерното дружество, той не носи отговорност за задълженията (дълговете) на компанията за времето на нейното съществуване, а след прекратяването й, той носи отговорност единствено до размера на своя ликвидационен дял.
