1) With respect to what Mr. Black, Esq. suggested regarding the trial in Los Angeles, U.S.A., we have decided that we should send two (2) plaintiff investors and that the other group should send another two (2) plaintiff investors. We also suggest that Notary Hernández, acting as advisor, should attend the trial along with Mr. Jaime Asturias as a witness. Those who have been appointed to make this trip on behalf of this group are: Mr. Héctor Mancini and Fernando Blanco, as plaintiffs, and Notary Hernández.
2) We have information from Mr. Jaime Mancini that Mr. Pedro Alemán and Mr. Mariano Casales will be traveling to Los Angeles on behalf of this group.
3) It is understood that those who attend the trial in Los Angeles will be there to protect their individual interests, but in doing so, will also be defending the positions of the other plaintiffs. It has been decided that all of the members of this group will share the travel expense for Mancini, Hernándes and Blanco, prorated to the sum of the respective claim.
4) It has also been decided that all of the members of this group will share the cost of Mr. Asturias’ airfare (tourist class). The amount each member pays will be prorated to the sum of their respective claim for each of the 21 Chase accounts, that is, prorated to the sum of the respective claim of each member of this group.
6) All the members hereby ratify that it is their intent to repay Mr. Jaime Asturias for all of the advance payments he has made to Mr. Black, Esq. in relation to this trial.
7) It has been agreed to copy this notification to Mr. Black, Esq. for his approval.
8) By means of this notification, we request that Mr. Black, Esq. determine the exact days on which the appointed plaintiffs and Mr. Mancini and Mr. Hernández must be in Los Angeles. This information is needed as soon as possible in order to purchase airfare and make hotel reservations. We also request an agenda for each of the persons appointed to make the trip.

These Terms and Conditions of Employment (“Terms”) are entered into as of ____ ___________, 2003, by and between PROMOTIONS, INC., a Florida corporation (“Company”), and _________________________________ (“Employee”).
Recitals
The Company desires to employ [or continue to employ] Employee and Employee desires to be employed [or continue to be employed] by the Company on the terms and subject to the conditions set forth in these Terms.
ACCORDINGLY, in consideration of the mutual covenants and agreements set forth in these Terms, and for other good and valuable consideration, the receipt and adequacy of which are acknowledged, the Company and Employee agree as follows:
1. Employment. The Company will employ [or continue to employ] Employee and Employee accepts such employment [or continued employment] and agrees to perform the services attendant to his/her position with the Company, upon the terms and subject to the conditions set forth in these Terms.
2. No Employment Agreement. The Terms are not to be construed as a guarantee of employment for any time period nor as an employment agreement, it being understood that Employee is an employee at-will, nor do the Terms make any assumptions related to future compensation.
3. Consideration. Employee acknowledges that he/she has received from the Company sufficient consideration for the execution of the Terms, including but not limited to [check all that apply]:

Continued employment with the Company.
4. Confidentiality.
a. Confidentiality of these Terms. Employee acknowledges that the provisions of these Terms are highly confidential and that disclosure of these Terms or its terms would be extremely prejudicial to the Company. Accordingly, neither the Company nor Employee will disclose the terms of these Terms to any other person or entity (other than financial and legal advisors with a need-to-know and who agree to the confidentiality provisions of these Terms) without the prior written consent of the other party, except that the Company may disclose these Terms or its terms if in the reasonable opinion of counsel for the Company such disclosure is required by applicable law or regulation.
b. Confidential Information. Employee acknowledges that as a result of his/her employment with the Company, Employee has gained and will continue to gain knowledge of, and access to, proprietary and confidential information and trade secrets of the Company, including, without limitation, (1) the identity of customers, suppliers, subcontractors and others with whom the Company does business; (2) its marketing methods and strategies; (3) contract terms, pricing, margin, cost information and other information regarding the relationship between the Company and the persons and entities with which the Company has contracted; (4) its services, products, software, technology, developments, improvements and methods of operation; (5) its results of operations, financial condition, projected financial performance, sales and profit performance and financial requirements; (6) the identity of and compensation paid to its employees, including Employee; (7) its business plans, models or strategies and the information contained therein; (8) its sources, leads or methods of obtaining new business; (9) all other confidential information of, about or concerning the business of the Company; and (10) all information or compilations of information for each of the Company’s customers and clients, including the names, addresses, and other related information as to each customer and client (also referred to as “Client Lists” or “Customer Lists”) (the information and trade secrets set forth in subparts (1) through (10) above shall hereinafter collectively be referred to as the “Confidential Information”). Employee further acknowledges that such Confidential Information, even though it may be contributed, developed or acquired by Employee, and whether or not the foregoing Confidential Information is actually novel or unique or is actually known by others, constitutes valuable assets of the Company developed at great expense, which are the exclusive property of the Company. Accordingly, Employee will not, at any time, either during or subsequent his employment with the Company, in any fashion, form or manner, directly or indirectly, (i) use, divulge, disclose, communicate, provide or permit access to any person or entity, any Confidential Information of any kind, nature or description, or (ii) remove from the Company’s premises any notes or records relating thereto, or copies or facsimiles thereof (whether made by electronic, electrical, magnetic, optical, laser acoustic or other means) except in the case of both (i) and (ii), (A) as reasonably required in the performance of his/her services to the Company under these Terms, (B) to responsible officers and employees of the Company who are in a contractual or fiduciary relationship with the Company and who have a need for such information for purposes in the best interests of the Company, and (C) for such information, which is or becomes generally available to the public, other than as a result of an unauthorized disclosure by Employee. Employee acknowledges that the Company would not enter into these Terms without the assurance that all Confidential Information will be used for the exclusive benefit of the Company.
c. Return of Confidential Information. Upon request by the Company, Employee will promptly deliver to the Company all drawings, manuals, letters, notes, notebooks, reports and copies thereof, including all originals and copies contained in computer hard drives or other electronic or machine readable format, all Confidential Information and other materials relating to the Company’s business, including, without limitation, any materials incorporating Confidential Information, which are in Employee’s possession or control.
5. Work for Hire. Employee agrees that all written, graphic or other works of authorship, whether produced by Employee or under Employee’s direction or contributed to by Employee while employed by the Company (“Works”) generated or developed by Employee during my employment with the Company shall be considered works made for hire under the copyright laws of the United States and they shall, upon creation, be owned exclusively by the Company. If for any reason, such Works are not considered works made for hire under applicable law, then Employee irrevocably and unconditionally hereby assign to the Company all rights of copyright in such materials, and the Company shall be entitled to register and hold in its own name all copyrights in respect of such Works, and to use, copy and reproduce such works as the exclusive owner without limitation.
6. Non-Competition and Non-Solicitation. Employee acknowledges and agrees that the Company is primarily engaged in the business of selling and distributing health and beauty products (the “Business”), which is conducted throughout the United States of America and the Caribbean Islands, Central America and South America, and additional geographic areas. During the course of Employee’s employment with the Company and for a period of two (2) years following the termination of Employee’s employment with the Company (“Period of Non-Competition”) and within the Florida counties of West Palm Beach, Broward, Miami-Dade and Hillsborough (the “Territory”), Employee will not (whether or not then employed by the Company for any reason), without the Company’s prior written consent:
a. directly or indirectly own, manage, operate, control, be employed by, act as agent, consultant or advisor for, or participate in the ownership, management, operation or control of, or be connected in any manner through the investment of capital, lending of money or property, rendering of services or otherwise, with, any business of the type and character engaged in and competitive with the Business. For these purposes, ownership of securities of three percent (3%) or less of any class of securities of a public company will not be considered to be competition with the Business;
b. solicit, persuade or attempt to solicit or persuade or cause or authorize directly or indirectly to be solicited or persuaded any existing customer or client, or potential customer or client to which the Company has made a presentation or with which the Company has been having discussions, to cease doing business with or decrease the amount of business done with or not to hire the Company, or to commence doing business with or increase the amount of business done with or hire another company;
c. solicit, persuade or attempt to solicit or persuade or cause or authorize directly or indirectly to be solicited or persuaded the business of any person or entity that is a customer or client of the Company, or was their customer or client within two (2) years prior to cessation of Employee’s employment by the Company, for the purpose of competing with the Business; or
d. solicit, persuade or attempt to solicit or persuade, or cause or authorize directly or indirectly to be solicited or persuaded for employment, or employ or cause or authorize directly or indirectly to be employed, on behalf of Employee or any other person or entity, any individual who is or was at any time within six (6) months prior to cessation of Employee’s employment by the Company, an employee of the Company.
If Employee breaches or violates any of the provisions of this Section 6, the running of the Period of Non-Competition (but not of any of Employee’s obligations under this Section 6) will be tolled with respect to Employee during the continuance of any actual breach or violation. In addition to any other rights or remedies the Company may have under these Terms or applicable law, the Company will be entitled to receive from Employee reimbursement for all attorneys’ and paralegal fees and expenses and court costs incurred by the Company in enforcing these Terms and will have the right and remedy to require Employee to account for and pay over to the Company all compensation, profits, monies, accruals or other benefits derived or received, directly or indirectly, by Employee from the action constituting a breach or violation of this Section 6.
7. Reasonable Restrictions. The parties acknowledge and agree that the restrictions set forth in Sections 4, 5 and 6 of these Terms are reasonable for the purpose of protecting the value of the Business and goodwill of the Company. It is the desire and intent of the parties that the provisions of Sections 4, 5 and 6 be enforced to the fullest extent permissible under the laws and public policies applied in each jurisdiction in which enforcement is sought. If any particular provisions or portions of Sections 4, 5 and 6 are adjudicated to be invalid or unenforceable, then such section will be deemed amended to delete such provision or portion adjudicated to be invalid or unenforceable; provided, however, that such amendment is to apply only with the respect to the operation of such section in the particular jurisdiction in which such adjudication is made.
8. Breach or Threatened Breach. The parties acknowledge and agree that the performance of the obligations under Sections 4, 5 and 6 by Employee are special, unique and extraordinary in character, and that in the event of the breach or threatened breach by Employee of the terms and conditions of Sections 4, 5 or 6, the Company will suffer irreparable injury and that monetary damages would not provide an adequate remedy at law and that no remedy at law may exist. Accordingly, in the event of such breach or threatened breach, the Company will be entitled, if it so elects and without the posting of any bond or security, to institute and prosecute proceedings in any court of competent jurisdiction, in law and in equity, to enforce the specific performance of these Terms by Employee or to enjoin Employee from breaching or attempting to breach Sections 4, 5 or 6.
9. Miscellaneous.
a. Survival. The provisions of Sections 4, 5, 6, 7 and 8 will survive the termination or expiration of these Terms for any reason.
b. Entire Agreement. These Terms constitute the entire agreement of the parties pertaining to its subject matter and supersedes all prior or contemporaneous agreements or understandings between the parties pertaining to the subject matter of these Terms, and there are no promises, agreements, conditions, undertakings, warranties, or representations, whether written or oral, express or implied, between the parties other than as set forth in these Terms.
c. Modification. These Terms may not be amended or modified, or any provision waived, unless in writing and signed by both parties.
d. Waiver. Failure of a party to enforce one or more of the provisions of these Terms or to require at any time performance of any of the obligations of these Terms will not be construed to be a waiver of such provisions by such party nor to in any way affect the validity of these Terms or such party’s right thereafter to enforce any provision of these Terms, nor to preclude such party from taking any other action at any time which it would legally be entitled to take.
e. Successors and Assignees. These Terms may not be assigned or the duties delegated unless in writing and signed by both parties, except for any assignment by the Company occurring by operation of law. Subject to the foregoing, these Terms will inure to the benefit of, and be binding upon, the parties and their heirs, beneficiaries, personal representatives, successors and permitted assigns.
f. Notices. Any notice, demand, consent, agreement, request, or other communication required or permitted under these Terms will be in writing and will be, (i) mailed by first-class mail, registered or certified, return receipt requested, postage prepaid, (ii) delivered personally by independent courier, or (iii) transmitted by facsimile, to the parties at the addresses as follows (or at such other addresses as will be specified by the parties by like notice):

Each party may designate by notice in writing a new address to which any notice, demand, consent, agreement, request or communication may thereafter be given, served or sent. Each notice, demand, consent, agreement, request or communication that is mailed, hand delivered or transmitted in the manner described above will be deemed received for all purposes at such time as it is delivered to the addressee (with the return receipt, the courier delivery receipt or the telecopier answer back confirmation being deemed conclusive evidence of such delivery) or at such time as delivery is refused by the addressee upon presentation.
g. Severability. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, then such invalidity or unenforceability will not affect the validity and enforceability of the other provisions of these Terms and the provision held to be invalid or unenforceable will be enforced as nearly as possible according to its original terms and intent to eliminate such invalidity or unenforceability.
h. Counterparts. These Terms may be executed in any number of counterparts, and all counterparts will collectively be deemed to constitute a single binding agreement.
i. Governing Law; Venue. These Terms will be governed by the laws of the State of Florida, without regard to its conflicts of law principles. Employee consents to the jurisdiction of any state or federal court located within Miami-Dade County, State of Florida, and consents that all service of process may be made by registered or certified mail directed to Employee at the address stated in Section 12(f) of these Terms. Employee waives any objection which Employee may have based on lack of jurisdiction or improper venue or forum non conveniens to any suit or proceeding instituted by the Company under these Terms in any state or federal court located within Miami-Dade County, Florida and consents to the granting of such legal or equitable relief as is deemed appropriate by the court. This provision is a material inducement for the Company to enter into these Terms with Employee.
j. Opportunity to Seek Counsel. Employee acknowledges that he/she has had an opportunity to consult with an attorney prior to executing these Terms.
k. Waiver of Jury Trial. EACH OF THE COMPANY AND EMPLOYEE IRREVOCABLY WAIVES ALL RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THE PROVISIONS OF THESE TERMS.
l. Litigation; Prevailing Party. In the event of any litigation, administrative proceeding, arbitration, mediation or other proceeding with regard to these Terms, the prevailing party will be entitled to receive from the non-prevailing party and the non-prevailing party will pay upon demand all court costs and all reasonable fees and expenses of counsel and paralegals for the prevailing party.

4. Confidencialidad.
a. Confidencialidad de los presentes Términos. Por consiguiente, ni la Empresa ni el/la empleado(a) divulgarán las disposiciones de los presentes Términos a cualquier otra persona o entidad (salvo aquellos asesores financieros y legales que tengan necesidad de conocer los mismos y que acepten las disposiciones de confidencialidad de los presentes Términos) sin el consentimiento previo por escrito de la otra parte, salvo que la Empresa podrá divulgar los presentes Términos o las disposiciones de los mismos si de acuerdo , con la opinión razonable de su asesor legal tal divulgación fuera requerida según la legislación o regulación aplicable.
b. Información confidencial. El/la Empleado(a) reconoce que como resultado de su empleo con la Empresa, el/la Empleado(a) ha logrado y continuará logrando conocimiento acerca de, y acceso a, información exclusiva de los dueños y confidencial y secretos del oficio de la Empresa, incluyendo, pero sin limitación: (1) la identidad de los clientes, proveedores, sub-contratistas y otras entidades o personas con las cuales que la Empresa mantiene relaciones de negocio; (2) sus métodos y estrategias de mercadeo; (3) términos de contratos, precios, márgenes de ganancia, información de costos y otras informaciones acerca de la relación entre la Empresa y las personas y entidades con las cuales la Empresa ha contratado; (4) sus servicios, productos, software, tecnología, innovaciones, mejoras y métodos de operación;(5) sus resultados de operaciones, estados financieros, pronóstico de resultados financieros, ventas y comportamiento de las ganancias y requisitos financiero; (6) la identidad de sus empleados(as), así como la compensación pagada a los mismos, incluyendo el/la empleado(a), (7) sus planes comerciales, modelos o estrategias y la información contenida en las mismas; (8) sus fuentes, pistas de negocios o métodos de obtener nuevos negocios; (9) toda otra información confidencial sobre los negocios de la Empresa, o acerca de, o relacionada con los mismos; y (10) toda la información o recopilación de información para su clientela y cada uno de sus clientes, incluyendo los nombres, direcciones u otra información relacionada con cada uno de los clientes y la clientela (también conocido como "Lista de Clientes" o "Listado de la Clientela") (la información y los secretos del oficio estipulados en los incisos (1) al (10) arriba mencionados de aquí en adelante se conocerán como "La Información Confidencial"). c. Devolución de Información Confidencial. A petición de la Empresa, el/la Empleado(a) de manera expedita le hará entregar a la Empresa todos los dibujos, manuales, cartas, anotaciones, cuadernos, informes y copias de los mismos, incluyendo todos los originales y las copias contenidas en el disco duro de las computadora o en cualquier otro formato legible computarizado o electrónico, toda la Información Confidencial otros materiales relacionados con el negocio de la Empresa, incluyendo sin limitación alguna, cualesquiera materiales que incorporan Información Confidencial, los cuales se encuentran en poder o bajo control del Empleado(a).
5. Trabajo por Contratación. El/la Empleado(a) conviene en que todos los trabajos escritos, gráficos u otras obras de autoría, así hayan sido generado por el/la Empleado(a) o bajo la dirección del/de la Empleado o que el/la Empleado(a) hayan contribuido los mismos mientras se hallaba empleado por la Empresa ("Trabajos") generados o desarrollados por el/la Empleado(a) durante su empleo con la Empresa se considerarán trabajos hechos por contratación bajo las leyes del derecho de autor de los Estados Unidos de América y al ser creados, serán propiedad exclusiva de la Empresa. Si por alguna razón, dichos trabajos no son considerados trabajos por contratación según la ley aplicable en la materia, entonces por medio del presente, el/la empleado(a) de manera irrevocable e incondicional trasferirá a la Empresa todos los derechos de autor en dichas materias, y la Empresa tendrá el derecho de registrar y poner a nombre suyo todos los derechos de autor relacionados con dichos trabajos, y utilizar, copiar y reproducir dichos trabajos como el propietario exclusivo de los mismos sin limitación alguna.
6. Cláusula de No-Competencia y No-Búsqueda de Clientes. El/la Empleado(a) reconoce y conviene que la Empresa fundamentalmente se dedica al negocio de la venta y distribución de productos de belleza y salud (el "Negocio"), el cual se lleva a cabo en los Estados Unidos de América y las Islas del Caribe, América Central y América del Sur, y otras áreas geográficas. Durante el transcurso del empleo del empleado(a) con la Empresa y por un período de dos (2) años a partir del momento de la terminación del empleo del empleado(a) con la Empresa (“Período de No-Competencia") y dentro de los Condados de West Palm Beach, Broward, Miami-Dade y Hillsborough del Estado de la Florida (el "Territorio"), el/la Empleado(a) (así este en ese momento empleado o no por la Empresa por cualquier motivo), no podrá hacer lo siguiente sin el consentimiento previo por escrito de la Empresa:
a. De manera directa o indirecta ser propietario(a), gerenciar, operar, controlar, ser empleado por, actuar como agente, consultor o asesor para, o participar en la propiedad, gerencia, operación o control de, o tener conexión a través de la inversión de capital, préstamo de dinero o propiedad, brindar servicios o de alguna otra manera, conducir negocios de índole o naturaleza que entren en competencia con el Negocio. A estos fines y propósitos, la propiedad de valores del tres por ciento (3%) en títulos de cualquier clase en una empresa pública no se considerará como competencia al Negocio;
b. solicitar, persuadir cualquier intento de procurar o persuadir causar o autorizar de manera directa o indirecta, a que se procure o persuada a cualquier cliente o clientela actual o cualquier cliente o clientela potencial con la cual la Empresa ha llevado a cabo conversaciones, a cesar de conducir negocios con o disminuir la cantidad de negocios efectuados con o de no contratar a la Empresa, o de comenzar a efectuar negocios con o incrementar la cantidad de negocios realizados con o contratados con otra empresa;
c. solicitar, persuadir o intentar de solicitar o persuadir o causar o autorizar de manera directa o indirecta para solicitar o persuadir el negocio de cualquier persona o entidad quien es un cliente o clientela de la Empresa, o fue su cliente o cliente dentro de los dos (2) años anteriores de la terminación del empleo del Empleado(a) en la Empresa, con el fin de competir con el Negocio; o
d. solicitar, persuadir, intentar de solicitar o persuadir, o causar o autorizar de manera directa o indirecta a que se solicite o se persuada a fines de empleo, o emplear o causar o autorizar de manera directa o indirecta a que se emplee, a nombre del empleado(a) o de cualquier otra persona o entidad, quien es o fue en cualquier momento dentro de los seis (6) meses previos a la terminación del empleo del/ de la Empleado(a) en la Empresa, empleado(a) de la Empresa.
Si el/la Empleado(a) incumple o viola cualquiera de las disposiciones de esta Sección 6, en el plazo del Periodo de No-Competencia (pero no las obligaciones del/la Empleado(a) de acuerdo con esta Sección 6), será extendido con respecto al Empleado(a) durante la continuación de cualquier incumplimiento o violación real. Además de cualquier otro derecho o resarcimiento que la empresa pudiera tener conforme a los presentes Términos o de acuerdo con las leyes aplicables, la Empresa tendrá el derecho a recibir reembolso del Empleado(a) por todos los honorarios de los abogados y asistentes legales y gastos y costos judiciales en los cuales haya incurrido la Empresa a fin de hacer cumplir los presentes Términos y la misma tendrá el derecho de exigir al Empleado(a) a que rinda cuenta por y pague a la Empresa toda la compensación, utilidades, dinero, cobranza y otros beneficios derivados de o recibidos, de manera directa o indirecta, por el/la Empleado(a) como resultado de la acción que constituyó el incumplimiento o la violación de esta Sección 6.
7. Restricciones Razonables. Las partes reconocen y acuerdan que las restricciones señaladas en las Secciones 4, 5 y 6 de estos términos son razonables a fin de proteger el valor del Negocio y la buena reputación de la Empresa. Es el deseo y la intención de las partes que las disposiciones de las Secciones 4, 5 y 6 se hagan cumplir al máximo posible de acuerdo con las leyes y las políticas aplicadas en cada jurisdicción en la cual se solicita su cumplimiento. Si alguna disposición o porción de las Secciones 4, 5 y 6 llegase a adjudicarse como inválida o no ejecutable, entonces dicha sección se considerará enmendada a fin de eliminar tal disposición o porción adjudicada como inválida o no ejecutable, siempre y cuando dicha enmienda si aplicase sólo con respeto a dicha sección en la jurisdicción en particular en donde dicha adjudicación fuera hecha.
8. Incumplimiento o Amenaza de Incumplimiento. Las partes reconocen y acuerdan que la ejecución de las obligaciones contenidas en las Secciones 4, 5 y 6 por parte del/de la Empleado(a) son de naturaleza especial, única y extraordinaria, y que en caso de incumplimiento o amenaza de incumplimiento por parte del/de la Empleado(a) de los Términos y condiciones de las Secciones 4 , 5 ó 6, la Empresa sufrirá daños irreparables y los daños monetarios no llegarían a aportar un resarcimiento y es posible que no exista un resarcimiento legal idóneo. De acuerdo con esto, en el caso que dicho incumplimiento o amenaza de incumplimiento exista, la Empresa tendrá el derecho, si así lo eligiese y sin fijar una fianza o garantía comercial, iniciar y entablar un proceso legal en cualquier ante tribunal de jurisdicción competente, conforme a la ley y la equidad, a fin de hacer cumplir la ejecución específica de estos términos por el/ Empleado(a) o de imponerle al/a la Empleado(a) que no incumpla la ley o intente incumplir las Secciones 4, 5 ó 6.
9. Misceláneos.
a. Supervivencia. Las disposiciones de las Secciones 4, 5, 6, 7 y 8 sobrevivirán la terminación o expiración de los presentes Términos por cualquier razón.
b. Convenio en su Totalidad. Los presentes Términos constituyen el convenio en su totalidad entre las partes con relación al asunto temático y sustituyen todos y cuantos convenios y entendimiento anteriores o contemporáneos entre las partes relativos al asunto temático de estos Términos, y no existen promesas, acuerdos, condiciones, compromisos, garantías o declaraciones, ya sea escritas o verbales, explícita o implícita, entre las partes salvo las estipuladas en las presentes Términos.
c. Modificación. Los presentes Términos no se podrán enmendar o modificar, ni se podrá ceder disposición alguna, salvo que se haga por escrito y sea firmada por ambas partes.
d. Cesión. La no ejecución por una de las partes de una más de las disposiciones de los presentes Términos o no requerir la ejecución de cualesquiera de las obligaciones contenidas en los presentes Términos no se interpretará como una cesión de tales disposiciones por dicha parte ni de forma alguna afectará la validez de estos Términos ni de los derechos de dicha parte de exigir el cumplimiento de cualquier disposición de los presentes Términos, ni tampoco impedirá a dicha parte tomar cualesquiera otra acción en cualquier momento que legalmente tendría derecho de tomar.
e. Sucesores y Cesionarios. Los presentes Términos no se podrán ceder ni delegarse las obligaciones contenidas en los mismos salvo que se haga por escrito y sea firmado por ambas partes, con excepción de cualquier cesión realizada por la Empresa producto de la ejecución de la ley. Sujeto a lo anterior, los presentes Términos, beneficiarán y serán de obligatorio cumplimiento por las partes y sus herederos, beneficiarios, representantes personales, sucesores y cesionarios permitidos.
f. Notificación. Cualquier notificación, demanda, consentimiento, acuerdo, solicitud u otra comunicación requerida o permitida conforme a los presentes Términos se hará por escrito y (i) se enviará por correo de primera clase, registrado o certificado con acuse de recibo, con envió prepagado, (ii) entrega personal mediante un servicio de mensajería independiente, o (iii) transmitirlo por facsímile, a las partes a las siguientes direcciones (o a tales otras direcciones que las partes especificaran mediante similar notificación):

Cada Parte podrá designar, mediante notificación por escrito una nueva dirección a donde se podrá entregar, presentar o enviar en lo sucesivo toda y cuanta notificación, demanda, consentimiento, acuerdo, solicitud o comunicación. Toda y cuanta notificación, demanda, consentimiento, acuerdo, solicitud o comunicación que se envíe por correo, se entrega a mano o se transmite de la forma descrita anteriormente se considerará como recibida para todos los fines y propósitos si se entrega al destinatario (con el acuse de recibo, el el recibo de entrega del servicio de mensajería o la confirmación de recibo del telefax como prueba concluyente de tal entrega) o cuando el destinatario se niega a recibir entrega de la misma a su presentación.
g. Divisibilidad. Si cualquiera disposición de los presentes Términos se considerase como inválida o no ejecutable por un tribunal de jurisdicción competente, entonces, dicha invalidez o condición de no ejecutable no afectará la validez ni la capacidad de ejecución de las demás disposiciones de los presentes Términos y la disposición que se considere inválida o no ejecutable se ejecutará en la medida de lo posible conforme a los Términos originales y se intentará eliminar dicha invalidez de no ejecutable.
h. Copias. Los presentes Términos se podrán suscribir en cualquier número de copias, y todas las copias se considerarán como un solo convenio de obligatorio cumplimiento.
i. Legislación Aplicable; jurisdicción. Los presentes Términos se regirán por las leyes del Estado de la Florida, independientemente de cualesquiera principios de conflictos de ley. El/la Empleado(a) expresa su consentimiento a la jurisdicción de cualquier tribunal estatal o federal ubicado en el Condado de Miami-Dade, Estado de la Florida, y da su consentimiento de que toda notificación legal podrá ser realizada mediante correo registrado o certificado dirigido(a) a la dirección que señala en la Sección 12 (f) de los presentes Términos. El/la Empleado(a) cede cualquier objeción que el/la Empleado(a) pudiera tener con fundamento en la falta de jurisdicción o competencia indebida o forum non conveniens con respecto a cualquier demanda o procedimiento legal entablado por la Empresa conforme a los presentes Términos en cualquier tribunal estatal o federal ubicado en el Condado de Miami-Dade, Estado de la Florida, y da su consentimiento al otorgamiento de cualquier reparación legal o conforme a la equidad que fuera considerado como correcto por dicho tribunal. La presente disposición es un incentivo material para la Empresa suscriba los presentes Términos con el/la Empleado(a).
j. Oportunidad para buscar asesoría legal. El/la Empleado(a) reconoce que él/ella ha tenido la oportunidad de consultar con un abogado antes de suscribir los presentes Términos.
k. Cesión de Juicio por jurado. TANTO LA EMPRESA COMO EL/LA EMPLEADO (A) IRREVOCABLEMENTE CEDEN TODO Y CUANTO DERECHO A UN JUICIO POR JURADO EN CUALQUIER ACCIÓN, PROCEDIMIENTO O CONTRARECLAMO QUE RESULTASE A CONSECUENCIA DE LAS DISPOSICIONES DE LOS PRESENTES TÉRMINOS O CON RELACIÓN A LOS MISMOS.
l. Litigios; parte ganadora. Dado el caso de cualquier litigio, procedimiento administrativo, arbitraje, mediación u otro procedimiento relativo a los presentes Términos, la parte ganadora tendrá derecho a recibir de la parte perdedora, y esta ultima pagará a la vista todos los costos de tribunal y todos y cuantos honorarios y gastos razonables de abogados y asesores legales de la parte ganadora.
