Source text - English The DISTRIBUTOR hereby acknowledges that WG is the owner inter alia of all of the trademarks and/or trade mark applications referred to in Recital A hereof (and any registration issuing therefrom), as well as of the corresponding trade names, other distinctive signs and features and of the goodwill appertaining thereto including the Brand Marks (as hereinafter defined) and of the Know-How (as hereinafter defined) and has the right to grant the use of the foregoing intellectual property rights to the DISTRIBUTOR. The SUPPLIER will procure or
cause to procure WG to grant the SUPPLIER the right to use these intellectual property rights, being this understanding an essence of this agreement.
C. DISTRIBUTOR requests that the SUPPLIER grants it a right to distribute, market and sell the Products (as hereinafter defined), in the Territory.
IT IS HEREBY AGREED, as follows:
Recitals:
The Recitals (A to C) above are made an integral part of this Agreement.
2. Definitions:
(1) In this Agreement, the following terms shall have the respective designated meanings which are set out here below:
"Agreement" means the present Agreement as may from time to time be amended by agreement between the Parties.
"Product" means the products affixed with the Brand Marks described in Annex 1 as the same may from time to time be amended by agreement between the Parties.
"Amount of Overall Net Sales” means the total amount of turnover volume of purchase of all Products from the SUPPLIER, at FOB price.
"Collection" means a collection of footwear, clothing, headgear and relevant accessories items created and realized by the SUPPLIER and proposed by the SUPPLIER to the DISTRIBUTOR.
"Designs" means any graphic and/or decorative figure and/or design relating to the Products and/or packaging made available to the DISTRIBUTOR.

2. Definiciones:

“Contrato” significa el presente Contrato, que puede ser modificado en cualquier momento por acuerdo entre las Partes.
“Producto” significa los productos protegidos por las Marcas Comerciales descritas en el Anexo 1 que igualmente puede ser modificado en cualquier momento por acuerdo entre las Partes.

1. What are the different types and aims of insolvency proceedings?
The new Insolvency Law (Law 22/2003 of 9 July 2003) provides for a single legal proceeding for
situations of crisis caused by the insolvency of a common debtor. This insolvency proceeding is called “concurso de acreedores” (“creditors’ meeting”). A debtor is in a situation of insolvency if he cannot meet his liabilities on a regular basis.
The creditors’ meeting is the only proceeding that applies to both civil debtors and traders, regardless of whether they are natural or legal persons. Its main purpose is to satisfy the creditors’ claims as far as possible, although to achieve this aim the Insolvency Law encourages solutions that allow the company to continue in business and jobs to be saved. Once an insolvency proceeding has been ordered, there is always an initial phase in which an inventory is made of the debtor’s assets and a list of the creditors, duly classified, is drawn up.
2. What are the conditions for opening each type of insolvency proceedings?
The insolvency proceeding may be applied for by the debtor, his creditors or the shareholders personally liable for the debts of the debtor company. Insolvency proceedings applied for by the debtor are voluntary proceedings, while those applied for by the other parties are compulsory proceedings.
The debtor has the right to apply for an insolvency order not only once he has become insolvent but also beforehand, when insolvency is imminent. Once the debtor actually becomes insolvent, this right becomes an obligation, and a formal application for insolvency proceedings must be made within two months.
3. What is the role of the various participants in each type of proceedings?
The judge directs the insolvency proceedings. He opens and closes the proceeding, ensures that the
necessary formal procedures are carried out, supervises the actions taken by the administrators and resolves any disputes arising at any stage of the proceeding.
The role of the administrators is a complex one. They have to provide information to and cooperate with the judge while also representing the general interests of all the creditors and supervising the
administration and disposal of the debtor’s assets.
4. What are the effects of the opening of proceedings?
Once the insolvency proceeding has been opened, all the debtor’s present and future assets and rights, except for non-attachable assets and rights, are attached. The opening of the insolvency proceeding is recorded in the registers in which these assets and rights are entered.
9. What are the rules relating to the winding-up proceeding?
Winding up is the alternative solution to a creditors’ arrangement and is a subsidiary procedure.
Winding-up proceedings are only initiated when expressly requested and when the arrangement has not been accepted, approved or complied with.
Winding-up means the dissolution of the debtor company or legal person.

1. ¿Qué clases de procedimientos concursales existen y cuál es su finalidad?
La nueva Ley Concursal (Ley 22/2003 de 9 de julio de 2003) establece un único procedimiento legal para situaciones de crisis ocasionadas por la insolvencia de un deudor conjunto. Este procedimiento se denomina “concurso de acreedores” (“creditors’ meeting”). Un deudor se encuentra en una situación de insolvencia cuando no puede hacer frente a sus pagos con normalidad.
El concurso de acreedores es el único procedimiento aplicable tanto a deudores particulares como a empresas, independientemente de si son personas físicas o jurídicas. Su principal objetivo es satisfacer las reclamaciones de los acreedores hasta donde sea posible, aunque, para alcanzar esta meta, la Ley Concursal promueve soluciones que permitan a la empresa continuar su actividad y mantener el empleo. Una vez iniciado el procedimiento concursal, siempre existe una fase inicial en la que se lleva a cabo un inventario de los activos del deudor y se elabora una lista de acreedores, debidamente clasificados.
2. ¿Qué condiciones son necesarias para iniciar cada tipo de procedimiento concursal?
El concurso de acreedores puede ser solicitado por el deudor, sus acreedores o los accionistas que respondan personalmente de las obligaciones de la compañía deudora. Los procedimientos concursales promovidos por el deudor se denominan concurso voluntario, mientras que los iniciados a instancia de las otras partes se conocen como concursos forzosos.
El deudor tiene derecho a instar una declaración de insolvencia no solo cuando ya se encuentra inmerso en esta situación, sino anticipándose a ella, cuando la insolvencia es inminente. Una vez que el deudor se encuentra en situación efectiva de insolvencia, este derecho se convierte en una obligación y debe presentar la solicitud oficial de concurso de acreedores en el plazo máximo de dos meses.
3. ¿Cuál es el papel de los distintos intervinientes en cada tipo de procedimiento?
El juez dirige el procedimiento concursal. Abre y cierra el procedimiento, se asegura de que se realicen todas las diligencias necesarias, supervisa la actuación de los administradores concursales y resuelve cualquier controversia que surja a lo largo del procedimiento.
El papel de los administradores concursales es complejo. Tienen que facilitar información al juez y prestarle su colaboración, al tiempo que representan los intereses generales de todos los acreedores y supervisan la administración y disposición de los activos del deudor.
4. ¿Qué efectos tiene la apertura del procedimiento?
Una vez abierto el procedimiento concursal, quedan afectos al mismo todos los activos y derechos presentes y futuros del deudor, excepto los bienes y derechos legalmente inembargables. La apertura del procedimiento concursal se anota en los registros donde consten inscritos dichos bienes y derechos.
9. ¿Qué normas se aplican al procedimiento de liquidación?
La liquidación es la solución alternativa al convenio de acreedores y es un procedimiento subsidiario. Los procedimientos de liquidación únicamente se inician cuando ello se solicita expresamente y cuando el convenio no ha sido aceptado, aprobado o cumplido.
La liquidación supone la disolución de la empresa o persona jurídica deudora.
