El presente compromiso de confidencialidad (el “Compromiso”) lo asume la sociedad [denominación social] (la “Sociedad”) el día [día] de [mes] de 2003 a favor de la sociedad [denominación social] (en adelante, el “Beneficiario”), que lo acepta en esta misma fecha.
La Sociedad asume el presente Compromiso frente al Beneficiario en relación con las conversaciones iniciadas (las “Conversaciones”) sobre una posible transacción consistente en [descripción] (la “Transacción”).
En relación con las Conversaciones, la Sociedad reconoce que el Beneficiario y sus representantes y asesores le proporcionarán en cada momento a partir de la presente fecha Información Confidencial (tal y como se define a continuación). Los siguientes términos y condiciones se aplicarán en relación con la Información Confidencial que sea suministrada por parte del Beneficiario (o sus representantes o asesores) a la Sociedad:
1. A efectos del presente Compromiso, “Información Confidencial” hace referencia a todos y cada uno de los documentos, materiales e información (ya sea verbal, escrita o en soporte informático) que el Beneficiario o sus representantes o asesores entreguen o pongan a disposición de la Sociedad en relación con la Transacción (incluido, a título meramente enunciativo, el hecho de que se están manteniendo las Conversaciones y de que el Beneficario está interesado en la operación objeto de las mismas), así como de cualquier análisis, recopilación, estudio u otro documento preparado, utilizado o creado que contenga o refleje la información previamente descrita.
La Sociedad, por el presente Compromiso, reconoce, acepta y conviene en que la Información Confidencial será
(i) utilizada única y exclusivamente a efectos de llevar a cabo las Conversaciones y evaluar la Transacción; y
(ii) revelada exclusivamente a las personas de la Sociedad que necesiten conocerla para evaluar la Transacción.
La Sociedad, por el presente Compromiso, reconoce que la Información Confidencial obtenida por ella es valiosa y constituye información secreta comercial perteneciente al Beneficiario, así como que su divulgación sería perjudicial para el Beneficiario. La Sociedad conviene en mantener dicha Información Confidencial en la más estricta confidencialidad y no revelarla ni divulgarla a ningún tercero, salvo cuando esté expresamente permitido en virtud del presente Compromiso.
Asimismo, la Sociedad se compromete frente al Beneficiario a asegurar que sus socios, agentes, representantes, directivos, consejeros, empleados y asesores queden sujetos por los términos del presente Compromiso.
La Sociedad será responsable de cualquier incumplimiento del presente Compromiso por parte de cualquier persona a quien haya revelado cualquier Información Confidencial.
Ni la Sociedad ni sus representantes utilizarán, directa o indirectamente, ni permitirán la utilización de la Información Confidencial, salvo cuando lo estipule el presente Compromiso.
2. El término “Información Confidencial” no incluye cualquier información que
(i) en el momento de la revelación o posteriormente esté a disposición general y pertenezca al dominio público (salvo como consecuencia de una revelación que suponga una violación del presente Compromiso u otra obligación de confidencialidad);
(ii) pase a estar a disposición de la Sociedad de forma no confidencial por medio de una fuente distinta del Beneficiario, otras entidades pertenecientes a su mismo grupo, sus representantes o sus asesores, siempre y cuando dicha fuente no esté vinculada por un compromiso de confidencialidad frente al Beneficiario, otras entidades pertenecientes a su mismo grupo o sus asesores; o
(iii) ya esté en manos de la Sociedad, siempre y cuando no tenga conocimiento de ella con sujeción a otro compromiso de confidencialidad.
3. Adicionalmente a lo anterior, a excepción de lo exigido por ley, la Sociedad se compromete a no revelar a ninguna persona, sin el previo consentimiento expreso y por escrito del Beneficiario, ni el hecho de que se están manteniendo Conversaciones ni que ha recibido Información Confidencial, ni ninguno de los términos, las condiciones o demás circunstancias en relación con cualquier posible operación que se derive de las Conversaciones, incluida la situación de las mismas.
4. La Sociedad reconoce que el Beneficiario le facilitará una relación de la Información Confidencial suministrada, comprometiéndose la Sociedad a mantener un registro con la localización de la misma. En el caso de que la Transacción no llegue a consumarse por cualquier causa o, en cualquier momento, previo requerimiento por parte del Beneficiario, la Sociedad se compromete a restituir inmediatamente toda la Información Confidencial. Del mismo modo, la Sociedad, en los mismos supuestos, se compromete a destruir inmediatamente toda la documentación (en cualquier soporte) que haya elaborado en relación con el examen de la Información Confidencial y que refleje total o parcialmente dicha Información Confidencial.
5. En caso de que la Sociedad se vea obligada legalmente a revelar cualquier Información Confidencial, notificará por escrito con prontitud dicho requerimiento al Beneficiario, de forma que éste pueda ejercitar las acciones administrativas, judiciales o extrajudiciales oportunas para intentar evitar la revelación y/o renunciar por escrito al cumplimiento de los términos del presente Compromiso. En caso de que no sea legalmente posible evitar la revelación, y con independencia de que se renuncie o no al cumplimiento de las estipulaciones del presente Compromiso, la Sociedad conviene en que sólo se revelará la parte de la Información Confidencial que, según indique por escrito un asesor legal independiente de reconocido prestigio, haya que revelar legalmente y se tomarán todas las medidas razonables para obtener la certeza de que se tratará de forma confidencial dicha Información Confidencial.
6. La Sociedad reconoce, acepta y conviene en que, a menos que se formalice y otorgue plenamente un contrato definitivo entre las partes (en relación con las Conversaciones) y hasta ese momento, el Beneficiario ni sus representantes o asesores tendrán ninguna obligación legal de ninguno tipo en relación con dichas Conversaciones, a excepción de los asuntos específicamente acordados en el presente Compromiso.
7. La Sociedad reconoce y acepta que, aunque el Beneficiario hará esfuerzos razonables por incluir en la Información Confidencial toda la información que crea pertinente para el objeto de las Conversaciones, a menos que se especifique de otro modo en cualquier contrato definitivo en relación con las Conversaciones, ni el Beneficiario ni ninguno de sus empleados, directivos, apoderados, representantes o asesores, ha hecho, hace o hará ninguna manifestación o garantía en cuanto a la exactitud, veracidad, corrección o la exhaustividad de la Información Confidencial.
8. Durante el transcurso de las Conversaciones, todas las preguntas y demás comunicaciones se realizarán directamente a las siguientes personas de [ ]: [ ]. No se realizará ningún contacto o comunicación con ningún empleado, directivo, apoderado, representante o asesor del Beneficiario sin el consentimiento previo y expreso de las personas anteriormente señaladas.
9. La Sociedad se compromete expresamente a que durante un período de dos (2) años a partir de la fecha del presente Compromiso, no solicitará la contratación, directa ni indirectamente, ni contratará sin el previo consentimiento por escrito del Beneficiario a ninguno de sus empleados o directivos o de cualquiera de las entidades que pertenezcan a su mismo grupo, con el que la Sociedad haya contactado o conocido en relación con las Conversaciones ni solicitará, inducirá o seleccionará a ninguno de estos empleados o directivos para que deje el Beneficiario o cualquiera de las entidades que pertenezcan a su mismo grupo. Esta estipulación no prohibirá los anuncios generales de cargos vacantes que se utilizan en el curso ordinario de la actividad de la Sociedad en la medida en que no estén dirigidos a los empleados o directivos referidos.
10. Una vez concluidas las Conversaciones, la Sociedad destruirá o devolverá al Beneficiario toda la Información Confidencial. Los compromisos asumidos en el presente Compromiso seguirán teniendo plena vigencia y efecto mientras la Sociedad o cualquiera de sus representantes o asesores conserve la Información Confidencial en su poder y durante un período de dos (2) años posteriormente.
11. La Sociedad expresamente reconoce la importancia, en términos de competitividad, de la confidencialidad de la Información Confidencial, y el daño que para el Beneficiario podría derivarse por la revelación a terceras personas del contenido de la misma o su utilización para fines distintos de las Conversaciones.
Por ello, la Sociedad reconoce y acepta expresamente, dada la especial naturaleza de la Información Confidencial y el daño que de su uso incorrecto o revelación a terceros podría derivarse para el Beneficiario, el derecho del Beneficario a solicitar el cumplimiento específico de las obligaciones aquí pactadas, conjuntamente con cualquier otra medida que estime apropiada para remediar el daño causado como consecuencia de tal incumplimiento.
En todo caso, y sin perjuicio de lo anterior, la Sociedad reconoce expresamente el derecho del Beneficario a una indemnización a cargo de la Sociedad, por los daños y perjuicios sufridos por aquella, con inclusión del lucro cesante, como consecuencia del incumplimiento de las obligaciones de confidencialidad aquí previstas.
12. La Sociedad conviene en que todas las estipulaciones del presente Compromiso se aplicarán, en la medida en que sean aplicables, a todas las filiales o entidades de su mismo grupo, en la interpretación más amplia del término, en el mismo grado que si fueran signatarios del presente Compromiso.
13. La Sociedad reconoce y acepta que ningún incumplimiento o demora en el ejercicio de cualquier derecho, facultad o privilegio que en virtud del presente Compromiso se reconozca al Beneficiario, supondrá la renuncia al mismo, ni impedirá cualquier ejercicio singular o parcial del mismo cualquier otro ejercicio o ejercicio adicional del mismo ni el ejercicio de cualquier derecho, facultad o privilegio que en virtud del presente Compromiso se reconozca al Beneficario.
14. El presente Compromiso se regirá por el Derecho español. Para cuantas cuestiones se deriven del mismo, la Sociedad se somete, con renuncia expresa a cualquier otro fuero que le pudiera corresponder, a los Juzgados y Tribunales de la ciudad de [ ].

This confidentiality undertaking (the “Undertaking”) is given by [company name] (the “Company”) on [month] [day], 2003 to [company name] (the "Beneficiary”), which accepts it on the same date.
The Company gives this Undertaking to the Beneficiary in relation to the discussions initiated (the “Discussions”) on a potential transaction consisting of [description] (the “Transaction”).
As regards the Discussions, the Company acknowledges that the Beneficiary and its representatives and advisers will, from time to time hereafter, provide it with Confidential Information (as defined below). The following terms and conditions shall apply to the Confidential Information provided by the Beneficiary (or its representatives or advisers) to the Company:
1. For the purposes of this Undertaking, “Confidential Information” refers to all the documents, materials, and information (whether oral, written or on a computerized medium) that the Beneficiary or its representatives or advisers deliver or make available to the Company in relation to the Transaction (including, but not limited to, the fact that Discussions are being held and that the Beneficiary is interested in the Transaction being discussed), as well as any analysis, compilation, study or other document prepared, used or created that contains or reflects the information described above.
The Company hereby acknowledges, accepts, and agrees that the Confidential Information shall be
(i) used solely and exclusively to hold the Discussions and to evaluate the Transactions; and
(ii) disclosed exclusively to such persons at the Company as may need to know the Confidential Information in order to evaluate the Transaction.
The Company hereby acknowledges that the Confidential Information obtained by it is valuable and constitutes secret commercial information belonging to the Beneficiary, and that its disclosure would be harmful to the Beneficiary. The Company agrees to keep the Confidential Information in the strictest confidence and not to reveal or disclose it to any third party, unless expressly so permitted by virtue of this Undertaking.
The Company also undertakes to the Beneficiary that it shall ensure that its shareholders, agents, representatives, executives, board members, employees, and advisers are bound by the terms of this Undertaking.
The Company shall be liable for any breach of this Undertaking by any person to whom it has disclosed any Confidential Information.
Neither the Company nor its representatives shall use, directly or indirectly, or permit the use of, the Confidential Information, unless so stipulated in this Undertaking.
2. The term “Confidential Information” does not include information that
(i) at the time of disclosure or subsequently is generally available and in the public domain (unless as a result of a disclosure that constitutes a breach of this Undertaking or other confidentiality obligation);
(ii) becomes available to the Company in a non-confidential manner from a source other than the Beneficiary, other entities belonging to its same group, its representatives or its advisers, provided that such source is not bound by a confidentiality undertaking to the Beneficiary, other entities belonging to its group or its advisers; or
(iii) is already in the hands of the Company, provided that it does not have knowledge of it subject to another confidentiality undertaking.
3. In addition to the foregoing, unless required by law, the Company undertakes not to disclose to any person, without the express prior written consent of the Beneficiary, the fact that it is holding Discussions or that it has received Confidential Information, or any of the terms, conditions or other circumstances in relation to any potential transaction that arises from the Discussions, including the status of the Discussions.
4. The Company acknowledges that the Beneficiary will provide it with a list of the Confidential Information furnished, and undertakes to keep a record of the location of such information. If the Transaction is not ultimately consummated for any reason or whenever the Beneficiary so requires, the Company undertakes to return all the Confidential Information immediately. Likewise, in the same situations, the Company undertakes to immediately destroy all documentation (on any medium) that has been prepared in examining the Confidential Information and that wholly or partially reflects such Confidential Information.
5. If the Company is under a legal obligation to disclose any of the Confidential Information, it shall promptly notify the Beneficiary in writing of such requirement, so that the Beneficiary can take appropriate administrative, judicial or extrajudicial action to seek to prevent the disclosure and/or to waive in writing compliance with the terms of this Undertaking. If it is not legally possible to prevent the disclosure, and regardless of whether or not compliance with the clauses of this Undertaking is waived, the Company agrees that it shall only disclose such part of the Confidential Information indicated in writing by an independent reputable legal adviser as must be legally disclosed and that all reasonable measures shall be taken to have the certainty that the Confidential Information will be treated confidentially.
6. The Company acknowledges, accepts, and agrees that, unless and until a final agreement is fully formalized and executed between the parties (in relation to the Discussions), neither the Beneficiary nor its representatives or advisers shall have any legal obligation of any kind in relation to such Discussions, except for the matters specifically agreed on in this Undertaking.
7. The Company acknowledges and accepts that, although the Beneficiary will make reasonable efforts to include all the information it deems pertinent to the subject-matter of the Discussions in the Confidential Information, unless specified otherwise in any final agreement in relation to the Discussions, neither the Beneficiary nor any of its employees, executives, attorneys-in-fact, representatives or advisers has made, makes or will make any representation or has given, gives or will give any warranty that the Confidential Information is accurate, true, correct or complete.
8. In the course of the Discussions, all questions and other communications shall be addressed directly to the following persons from [ ]: [ ]. No contact shall be made or communication engaged in with any employee, executive, attorney-in-fact, representative or adviser of the Beneficiary without the express prior consent of the aforementioned persons.
9. For two (2) years following the date of this Undertaking, the Company expressly undertakes not to seek the hiring of, whether directly or indirectly, or hire, without the prior written consent of the Beneficiary, any employees or executives of the Beneficiary or of any of the entities belonging to its group, with whom the Company has been in contact or met in relation to the Discussions, nor shall the Company solicit, cause or select any such employees or executives so that they leave the Beneficiary or any of the entities belonging to its group. This clause shall not prohibit general advertisements for vacant positions in the ordinary course of the Company's business if they are not addressed to such employees or executives.
10. Once the Discussions have concluded, the Company shall destroy or return to the Beneficiary all the Confidential Information. This Undertaking shall remain in full force and effect as long as the Company or any of its representatives or advisers have Confidential Information in their possession and for two (2) years thereafter.
11. The Company expressly acknowledges the importance, in terms of competitiveness, of the confidentiality of the Confidential Information, and of the harm that could be caused to the Beneficiary if its contents were disclosed to third parties or it were used for purposes other than for the Discussions.
Accordingly, the Company expressly acknowledges and accepts that, given the special nature of the Confidential Information and the harm that its misuse or disclosure to third parties could cause to the Beneficiary, the Beneficiary is entitled to request specific performance of the obligations agreed on herein, in conjunction with any other measure that it deems appropriate to remedy the harm caused as a result of nonperformance.
In any event, without prejudice to the foregoing, the Company expressly acknowledges the right of the Beneficiary to damages payable by the Company for any loss suffered by the Beneficiary, including lost profits, as a result of a breach of the confidentiality obligations established herein.
12. The Company agrees that all the clauses of this Undertaking shall apply, to the extent applicable, to all the subsidiaries or entities of its group, in the broadest sense of the term, to the same extent as if they were signatories of this Undertaking.
13. The Company acknowledges and accepts that no omission or delay in exercising any right, power or privilege recognized hereunder to the Beneficiary shall operate as a waiver of the right, power or privilege, nor shall a single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any right, power or privilege recognized hereunder to the Beneficiary.
14. This Undertaking shall be governed by Spanish law. The Company expressly waives any jurisdiction to which it may be entitled and submits as many issues as may arise from this Undertaking to the Courts and Tribunals of the city of [ ].
