Je ne parviens pas à comprendre dans le contexte ci-dessous les termes "underwrite, sub-underwrite, or guarantee
subscription"

For the purposes of this article, the following are permitted causes:

(a) a guarantee given, or to be given, by or to a director in respect of an obligation
incurred by or on behalf of the Company or any of its subsidiaries;

(b) subscription, or an agreement to subscribe, for shares or other securities of the
Company or any of its subsidiaries, or to underwrite, sub-underwrite, or guarantee
subscription for any such shares or securities; and

This is pretty straightforward meaning. Is the confusion because "subscribe" also translates as "souscrire"? In which case you might use:
"souscription, ou un accord/contrat/arrangment à s'abonner, aux actions ou d'autres titres de la Société ou de ses filiales, ou de souscrire, souscrire à titre de sous-traitance ou de garantir..."
