‘being’ in participle clauses

应为前者。the receipt of the invoice 可在交货时间或之后,一般不是焦点。句子的焦点是,如果这个60天的期限过去了还没交货, 那么这60天地期限就不适用了.

being not prior to the date of delivery的位置是有点歧义,我也倾向于理解为这个从句是修饰“付款时间”的。

由于无须在交货日期前付款,所以必须在收到发票的 60 天内支付。

与 legaltrans 对英文语法的正确表达方式的理解一致。

不(应)早于发货日期

(收到发票日期)不应早于发货日期。

从逻辑上,买方下订单-->卖方按买方订单要求发货(delivery)-->卖方在发货(delivery)的同时或之后开具并发送发票(invoicing)--->买方收到买方开具的发票之日起60天支付款项(payment)

所以付款时间根本不可能早于交货(delivery本身也还有一个过程,除非同城当天发货、交货的)时间

当然是指“收到发票的时间”不早于交货时间。

这样规定,是防止卖方在发货之前就提前开具发票——这显然是不合理的。
