The Borrower hereby irrevocably grants the Agent Bank the right to match (Right to Match) other Brazilian financial institution’s proposal terms and conditions regarding the closing of the Foreign Exchange Contract. Therefore, pursuant to such terms and conditions, the Borrower shall execute the Foreign Exchange Contract with the Agent Bank.

In case within the above mentioned time period no rate is quoted by such system, the rate to be used shall be the next available rate so quoted after such period of time, but in no circumstance shall such period of time exceed two calendar days following the relevant payment date If such rate is not made available within such time, the Agent Bank will determine the rate to be used by reference to the quotations received from three leading Brazilian banks (other than the Agent Bank or an Affiliate thereof) as shall be selected by the Agent Bank in its sole discretion (collectively the “Brazilian Reference Banks") The rate will then be the average of the rates obtained from the Brazilian Reference Banks If only two quotations are provided, the rate will then be the average of the rates obtained.
