To respond effectively to fraud incident, it is recommended that each entity1 or subsidiary2 anticipates this risk and has an appropriate organization that can be quickly activated.
This document specifies some aspects of the Group Integrity Policy and Program, in particular the modalities of alerts and of operational response to fraud incidents.
It is recommended that subsidiaries controlled by the Group refer to this document to set up their own related procedures and organization.
There are four main successive stages in the management of a fraud incident that will be developed here after:
o Discovering a fraud (or a fraud attempt) and alerting: whether the fraud (or fraud attempt) is immediately identified or only after a verified allegation of a employee or a third party, it is essential to structure the modalities of alerts and to mobilize a response team adapted to the management of the consequences of the incident, in a way that allows to any employee to be comfortable to report an incident and to quickly share the information required by the Group under certain circumstances.
o Protecting and investigating: this implies to take protective measures, on one hand, to protect efficiently and quickly people and assets and, on the other hand, to understand the fraudulent scheme used, to precise its impacts and to identify the persons involved. All these actions must be conducted in accordance with legal and regulatory rules in particular to preserve the individual rights of those
concerned, the interests of the company and the evidences.
o Implementing action plans: this implies to take corrective measures in the organization of the entity or of the process, and, as the case may be, to implement disciplinary procedures and/or to initiate legal proceedings vis-a-vis the persons found responsible by the company as well as an assets’ recovery plan.
o Sharing information and learning from the experience: this implies to perform a complete analysis of the incident with the objective to learn from the experience and thus to contribute to the ongoing improvement of the local and cross-functional organization.
Actions must be conducted with the following objectives as priorities:
• To protect on short and medium term the security of persons and assets of the Group
• To enable business continuity under conditions compatible with laws, regulations and applicable principles of actions and behavior of the company.
Field of application
This Policy shall apply to all Group entities1 and subsidiaries2 in accordance with their respective decision-making rules. Any representative of Total S.A. or of any of its subsidiaries participating in an entity in which TOTAL S.A. or such subsidiary does not have a majority of voting rights shall use reasonable efforts to promote this Policy within such entity.
1 An entity being a branch, a division, a department or a service of a subsidiary (meaning a subsidiary of
TOTAL S.A or one of its affiliates).
2 A subsidiary being a company in which Total SA holds directly or indirectly the majority of voting rights.

Para responder de forma eficaz a um acidente de fraude, recomenda-se que cada entidade¹ ou filial² antecipe esse risco e tenha uma organização adequada que possa ser rapidamente ativada.
Este documento especifica alguns aspectos da Política e Programa de Integridade de Grupo e, em particular, as modalidades de alertas e de resposta operacional a incidentes de fraude.
Recomenda-se que as filiais controladas pelo Grupo se refiram a este documento para estabelecer seus próprios procedimentos e organizações relacionados.
Há quatro principais fases sucessivas no gerenciamento de um incidente de fraude que serão desenvolvidas a seguir:
O Descobrindo a fraude (ou a tentativa de fraude) e alertando: seja a fraude (ou tentativa de fraude) imediatamente identificada ou apenas depois de uma alegação verificada de um funcionário ou de um terceiro, é essencial estruturar as modalidades de alerta e mobilizar uma equipe de resposta adaptada para a gestão das consequências do incidente, de forma que permita a qualquer funcionário estar confortável para relatar um incidente e compartilhar rapidamente as informações requeridas pelo Grupo em determinadas circunstâncias.
O Protegendo e Investigando: isso implica tomar medidas de proteção, por um lado, para proteger de forma eficiente e rápida as pessoas e bens e, por outro lado, para compreender o esquema fraudulento utilizado, para olhar de forma mais específica os impactos e identificar as pessoas envolvidas. Todas essas ações devem ser conduzidas em conformidade com as regras regulatórias e legais em particular para preservar os direitos individuais das pessoas interessadas, os interesses da empresa e as evidências.
O Implementando planos de ação: isso implica na tomada de medidas de correção na organização ou do processo e, conforme o caso, em aplicar os procedimentos disciplinares e/ou para instaurar os processos judiciais vis-à-vis as pessoas encontradas responsáveis pela empresa bem como um plano de recuperação de ativos.
O Compartilhando informações e aprendendo com a experiência: Isso implica em realizar uma análise completa do incidente com o objetivo de aprender com a experiência e assim contribuir para a melhoria contínua da organização local e multifuncional.
As ações devem ser conduzidas com os objetivos e prioridades abaixo:
• Proteger a curto e médio prazo a segurança de pessoas e patrimônio do Grupo.
• Permitir a continuidade dos negócios em condições compatíveis com as leis, regulamentações e princípios aplicáveis de ações e comportamento da empresa.
Campo de aplicação
Esta Política aplica-se a todas as entidades e subsidiárias do Grupo, em conformidade com as respectivas regras de tomada de decisão. Qualquer representante da Total S.A. ou de qualquer de suas subsidiárias que participam de uma entidade na qual a TOTAL S.A. ou qualquer subsidiária não tenha a maioria dos direitos de voto devem utilizar esforços razoáveis para promover essa Política dentro de tal entidade.
¹ Uma entidade sendo uma filial, uma divisão, um departamento ou um serviço de uma subsidiária (ou seja, uma subsidiária da TOTAL S.A. ou uma de suas afiliadas).
² Uma subsidiária sendo uma empresa em que a TOTAL S.A. detém direta ou indiretamente a maioria dos direitos de voto.
