ZUSAMMENFASSUNG
Die beiden Unterredungen mit den Steuerprüfern ergaben den nachstehend beschriebenen Anforderungskatalog zur Vorbereitung der eigentlichen Prüfungsarbeiten, die um den xx./xx. Dezember starten werden (ggf. auch erst im Januar 07). Bzgl. der Steuererklärung 2004 wurden schon zwei Punkte herausgegriffen: Die abweichenden Angaben der Zahlen in der Erklärung zu denen der Handelsbilanz und die ‚falsche’ Berechnung der Einkünfte im Zusammenhang mit der Withholding Tax (s. u. ). Eine‚ Sachverhaltsdokumentation light’ hinsichtlich der Transfer Price Thematik wird bis zu Beginn der eigentlichen Prüfungshandlungen erwartet. Seitens Unternehmen xxxxx haben Herr xxxxx und Herr xxxxx an den Besprechungen teilgenommen.
BESPRECHUNG 1: HERR xxxxx (9:30H BIS 12:15H)
Nach kurzer Vorstellung und Erläuterung des Unternehmensgegenstands der xxxxx Inc. und der deutschen GmbH (Vertriebsgesellschaft) führte Herr xxxxx aus, wie er gerne mit xxxxx zusammenarbeiten würde:
1. Datenzugriff und Datenbereitstellung:
Zugriff vor Ort per Terminal auf unsere Datenbestände in PeopleSoft wurde erbeten, sowie eine CD mit den Buchhaltungsdaten. Ebenso wurde eine DATEV-CD verlangt, die die bei der Abschlusserstellung durch xxxx angefallenen Daten enthält. Als Format für die PeopleSoft-Daten wurde ‚indexed XML’ erbeten (optimalerweise), weitere mögliche Formate sind XML, dBase oder XLS (Excel). Nicht verarbeitet werden können Textformate und ASCII-Code. Hinsichtlich der Bereitstellung des PeopleSoft-Zugriffs wird ein View-Only-Zugriff vorausgesetzt. Dieser müsste auf xxxxx-Seite so eingeschränkt werden, dass nur die relevanten Daten der deutschen Gesellschaft eingesehen werden können. Die relevanten Abfragen und Reports mit entsprechenden Drill-down-Möglichkeiten (angefragt) sollen zu Beginn der Prüfung zusammen mit Herrn xxxxx und dem PeopleSoft-System-Admin. festgelegt werden. Ein Drucker wurde ebenfalls angefragt.

SUMMARY
The two discussions with the tax auditors resulted in the following catalog of requirements in preparation for the actual audit work, which will begin around December xx or xx (or in January 2007 if need be). Two points have already been singled out regarding the 2004 tax return: the deviation of the figures in the return from those in the trade balance sheet, and the “false” calculation of income in connection with withholding tax (see below). A “light” statement of affairs regarding the transfer price topic is expected by the start of the actual auditing activity. Mr. xxxxx and Mr. xxxxx took part in the discussions on the part of company xxxxx.
DISCUSSION 1: MR. xxxxx (9:30AM TO 12:15PM)
After a brief introduction and explanation of the object of business of xxxxx Inc. and the German GmbH (distribution company), Mr. xxxxx explained how he would like to work with xxxxx:
1. Data access and provision:
On-site access to our data in PeopleSoft via terminal was requested along with a CD with the accounting data. A DATEV-CD was also requested containing the data from the financial statement prepared by xxxx. “Indexed XML” was requested as a format for the PeopleSoft data (optimally); further possible formats are XML, dBase or XLS (Excel). Text formats and ASCII code cannot be processed. View-only access is presumed for the preparation of the PeopleSoft access. This should be restricted on xxxxx's side so that only the relevant data of the German company can be examined. The relevant surveys and reports with corresponding drill-down possibilities (requested) should be determined at the beginning of the audit with Mr. xxxxx and the PeopleSoft system administration. A printer was also requested.

Nur in den Auslandswerken gibt es einen dezentralen, eigenständigen Einkauf; dieser Einkauf hat keinen Einfluss auf die Vergabe, sondern führt im Wesentlichen Preisverhandlungen nach SOP durch
Die Steuerung dieser ausländischen Einkaufsorganisationen erfolgt über jährlich zu erfüllende Einsparziele
Materialdisposition
Abrufe von Materialien auf Basis zuvor festgelegter Rahmenbedingungen (Technik, Preis, terms & conditions) erfolgt durch eine Dispositionsabteilung im Bereich der Logistik innerhalb der jeweiligen Produktionsstandorte
Für die Serienproduktion werden die notwendigen Materialien auftragsbezogen vorsequenziert und dann an die Fertigungslinie angeliefert

Responsibility
Procurement of the material for serial production (~28 billion EUR annually) is the responsibility of the Research, Development & Procurement department; this ensures the early involvement of procurement in the development phase.
Technical procurement (consumables, investments in machines, etc.) in the amount of 4 to 5 billion EUR annually is the responsibility of the Production department.
Organization
Strategic procurement (selection of suppliers, PVO planning, price negotiations, etc.) is centrally located in xxxxx and has global responsibility.
Local procurement in the German plants reports directly to this central procurement organization.
Only the plants abroad have local, independent procurement; it has no influence on awarding but mostly conducts price negotiations according to SOP.
These procurement organizations abroad are controlled via annual savings targets to be met.
Material planning
The release of materials based on previously determined general conditions (technology, price, terms & conditions) is done by a Material Planning department in the area of logistics at the respective manufacturing sites.
For serial production, the required materials are pre-sequenced based on orders and then delivered to the assembly line.
