Source text - English Office lease Agreement
This Agreement is made on June 29th 2010 by and between:
1- Almarai Company, a Saudi Joint Stock Company, having Commercial Registration Number 1010084223, whose address is at P.O. Box 8524, Riyadh 11492, Saudi Arabia (hereinafter referred to as the “Almarai” or “Landlord”)
2- International Pediatric Nutrition Company, a Saudi Limited Liability Company, having Commercial Registration No. 1010290415, whose Address is at: P.O Box 8524 Riyadh, Kingdom of Saudi Arabia (hereinafter referred to as “IPNC” or “Lessee”)
(Almarai and collectively shall be hereinafter referred to as “Parties”)
RECITALS:
1- WHEREAS Almarai owns building located in Izdihar Area, Exit 7, Dammam Highway, Riyadh, Kingdom of Saudi Arabia as described under clause entitled “Leased Premises”
2- WHEREAS IPNC desires to lease such a space in this building for office purposes only.
NOW IT IS AGREED as follows:
1- Leased Premises:
Almarai hereby leases to IPNC a space of 166 square meter in its building, hereinafter referred to as the "Leased Premises”.
2- Term
2.1 Almarai hereby leases to IPNC the Leased premises for term of 1 year, commencing on July 1st 2010 subject to termination and renewal rights thereafter as hereinafter set forth.
2.2 This lease shall mutually be renewed for an additional period of one year.
3- Termination Rights:
3.1 Without prejudice to any other right, remedy or power that Almarai may have, Almarai may terminate this Agreement if IPNC commits a material breach to this Agreement, which breach shall include but shall not be limited to:
a. IPNC failing to pay the rent on the due date.
b. IPNC violating the applicable laws and regulations of the Kingdom of Saudi Arabia.
3.2 Almarai may terminate this Lease at any time by issuing a written notice to IPNC at least three (3) months in advance of the desired termination date. The period for said termination notice will commence on the day following the day of mailing.
3.3 The parties by mutual agreement may provide for alternative advance notification procedures, as appropriate, for purposes of termination. Said mutual agreement must take the form of a Supplemental Agreement to the Lease, executed by both parties and attached hereto.
4- Rent:
IPNC shall pay to Almarai an annual rent of Four Hundred Seventy Five Thousand Saudi Riyals (SAR 475,000) inclusive utilities bills (electricity, telephone land line water, photocopy & printing machines and parking facility)
5- Rights of the Lessee
The lessee shall have the right to use the following facilities:
- Canteen
- Car Parking Area as specified by Almarai.
- Photocopy and printing machine
6- Liability.
IPNC agrees that Almarai shall not be liable for any damage or injury to persons or property arising out of the use of the Premises by Lessee, its agents and employees, invitees, or visitors except that occasioned by the negligence or act of Almarai, its agents, employees, servants, contractors, or subcontractors.
IPNC will indemnify and save Almarai harmless from all liability and loss on account of any such damage or injury.
7- Almarai’s Access to Premises
Almarai and its employees, contractors, agents and authorized representatives shall have the right to enter the Premises at any time during emergencies or at other times upon twenty-four (24) hours’ notice to IPNC.
8- Assignment, Subletting, etc.
IPNC may not assign, transfer, mortgage or encumber this Lease Agreement, or sublet the Premises or any part thereof, or suffer or permit the Premises or any part thereof to be used or occupied by any other person or entity.
9- Security Deposit
No security deposit shall be required under this Lease Agreement
10- Applicable Laws and Disputes Settlement:
10.1 This Agreement shall be governed by and construed in accordance with Laws and Regulations of the Kingdom of Saudi Arabia.
10.2 All disputes, controversies or differences which may arise, between the parties regarding this Agreement shall be resolved amicably, in failure to attain the same it shall be referred to the Almarai’s CEO for final and binding settlement.
11 General Terms And Conditions
11-1. Notices:
Every notice to be given under this Agreement shall be in writing and either delivered by hand or sent by facsimile or by registered [post/airmail]. The address of each party for the service of notices shall be as set out in this Agreement. (unless or until that address is changed by notice given under this clause).
Notice sent by registered [post/airmail] shall be treated as being received three working days after the date of posting. Notice delivered by hand or by facsimile shall be treated as being received on the day it is delivered unless delivery occurs after the normal working hours of the recipient, in which case delivery shall be treated as having occurred on the next working day.
11-2. Binding Effect:
This Agreement is binding upon and inures to the benefit of the parties, their legal representatives, parent companies, heirs and assigns.
11-3. Amendment:
No amendment to this Agreement will have any effect unless it is made in writing and signed by a duly authorized representative of each of the parties.
11-4. Severability:
If any provision of this Agreement becomes invalid, illegal or unenforceable, the parties will endeavor, acting in good faith, to agree the terms of a provision which may be substituted for the invalid, illegal or unenforceable provision. The invalidity, unenforceability or illegality of any provision will not affect the remaining provisions of this Agreement.
11-5. Waiver
The failure by a party to enforce any provision of this Agreement shall not be treated as a waiver of that provision, nor shall it affect the right of that party subsequently to enforce that provision.
11-6. Counterparts & Language:
This Agreement may be executed in two (2) or more counterparts in the English language, each of which, if executed by the parties, shall be deemed an original, but all of which shall constitute one (1) and the same instrument.
11-7. Headings:
The headings to clauses contained in this Agreement are inserted for convenience only and they do not form part of or affect the interpretation of this Agreement.
11-8. Entire Agreement:
This Agreement, including the Exhibits attached hereto and by this reference made an integral part hereof, constitute the entire agreement of the parties hereto with respect to the subject matter hereof and thereof, and supersede all previous proposals, verbal or written, expressed or implied, and all negotiations, conversations or discussions heretofore between the parties hereto related to the subject matter of this Agreement.
IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed by their respective duly authorized officers on the date first set forth above.

Translation - Arabic عقد إيجار مكتب
حرر هذا العقد في التاسع والعشرون من شهر يونيو عام 2010 بواسطة وبين كل من:
1- شركة المراعي وهي شركة مساهمة سعودية, سجل تجاري رقم 1010084223 وعنوانها صندوق بريد 8524 الرياض 11492 المملكة العربية السعودية ( والمشار إليها فيما بعد باسم المراعي أو مالك الأرض)
2- الشركة الدولية لتغذية الأطفال وهي شركة سعودية ذات مسئولية محدودة, سجل تجاري رقم 1010290415 وعنوانها صندوق بريد 8524 الرياض المملكة العربية السعودية ( والمشار إليها فيما بعد باسم الشركة الدولية لتغذية الأطفال أو المستأجر)
تمهيد:
1- حيث إن شركة المراعي تمتلك المبنى الواقع في منطقة ازدهار مخرج 7 بطريق الدمام السريع, الرياض المملكة العربية السعودية كما هو محدد بموجب مادة المقر المستأجر.
2- حيث إن الشركة الدولية لتغذية الأطفال ترغب في استئجار هذه المساحة في المبني لغرض الاستخدام المكتبي فقط.
1- المقر المستأجر.
تؤجر شركة المراعي بموجب هذا العقد للشركة الدولية لتغذية الأطفال مساحة قدرها 166 متر مربع في المبني الذي تمتلكه شركة المراعي والمشار إليه فيما بعد باسم "المقر المستأجر".
2- المدة
2-1 تؤجر شركة المراعي بموجب هذا العقد للشركة الدولية لتغذية الأطفال هذه المساحة لمدة عام تبدأ في الأول من شهر يوليو لعام 2010 وتخضع للانتهاء و التجديد فيما بعد وفقا للأتي:
2-2 يتجدد هذا العقد لمد عام اضافية تلقائيا.
3- حقوق الإنهاء
دون انتهاك الحقوق الأخرى مثل الإنصاف أو القدرة التي تتمتع بها شركة المراعي, يحق لشركة المراعي أن تنهي العقد ما إن انتهكت الشركة الدولية لتغذية الأطفال بنود وشروط هذا العقد حيث يشمل الانتهاك ولم يقتصر علي الأتي:
أ- فشل الشركة الدولية لتغذية الأطفال في دفع القيمة الإيجارية المستحقة في موعدها.
ب- انتهكت الشركة الدولية لتغذية الأطفال القوانين المعمول بها و واللوائح والأنظمة السائدة في المملكة العربية السعودية.
3-2 ويحق لشركة المراعي إنهاء عقد الإيجار في أي وقت وذلك عن طريق إرسال إخطار للشركة الدولية لتغذية الأطفال ( المستأجر) قبل الإنهاء بثلاثة أشهر وتبدأ مدة الثلاثة أشهر بعد أول يوم من إرسال الإخطار.
3-3 يتعين علي كلا الطرفين من خلال الموافقة المتبادلة أن يخطروا مقدما بالإجراءات البديلة لإخطار الإنهاء وبصورة مناسبة ويجب أن تأخذ الموافقة المتبادلة هذه شكل ملحق عقد الإيجار المنفذ من قيل الطرفين.
4- القيمة الإيجارية
تدفع الشركة الدولية لتغذية الأطفال ( المستأجر) لشركة المراعي قيمة إيجاريه سنوية تبلغ 475.000 أربعمائة وخمسة وسبعون ألف ريال سعودي لا تشمل فواتير (الكهرباء والهاتف الأرضي والمياه وآلات التصوير والطباعة والمرأب - الجراج ).
5- حقوق المستأجر
يملك المستأجر الحق في استخدام المرافق الآتية:
- المقصف
- موقف السيارات المخصص من قبل شركة المراعي.
- وآلات التصوير والطباعة
6- المسئولية.
توافق الشركة الدولية لتغذية الأطفال أن شركة المراعي غير مسئولة عن أي ضرر أو إصابة لأيا من الأشخاص أو الممتلكات تنجم عن استخدام المقر من قبل المستأجر أو وكلائه أو موظفيه أو مدعويه أو زائريه باستثناء ما يحدث بسب الإهمال أو بسبب شركة المراعي أو وكلائها أو موظفيها أو عمالها أو مقاوليها أو مقاوليها من الباطن.
يتعين علي الشركة الدولية لتغذية الأطفال أن تعوض شركة المراعي وتصونها من أي ضرر ومن أي مسئولية ومن أي خسارة قد تلحق بها جراء الضرر أو الإصابة.
7- دخول شركة المراعي للمقر
يحق لشركة المراعي وموظفيها و مقاوليها و وكلائها و وممثليها المفوضين أن يدخلوا المقر في أي وقت أثناء حالات الطوارئ أو أي وقت أخر بعد أربع وعشرين ساعة ( 24 ) من أخطار الشركة الدولية لتغذية الأطفال.
8- التنازل والإيجار من الباطن
لا يتعين علي الشركة الدولية لتغذية الأطفال أن تتنازل أو تنقل أو ترهن أو ترهق بالدين عقد الإيجار أو تؤجر من الباطن المقر أو أي جزء منه أو يضطر أو يسمح لطرف أخر أو جهة أخري باستخدام المقر أو أي جزء منه.
9- مقدم التأمين
لا يحق المطالبة بمقدم تأمين بموجب عقد الإيجار هذا.
10- القوانين المطبقة وحل المنازعات:
10-1 يخضع هذا العقد لقوانين ولوائح المملكة العربية السعودية ويفسر وفقاً لها.
10-2 يتعين حل جميع النزاعات أو الخلافات أو الاختلافات التي قد تنشأ بين الطرفين بخصوص هذا العقد ودياً، وعند الفشل في التوصل إلى حل ودي يتعين إحالتها إلى الرئيس التنفيذي لشركة المراعي للوصول إلى تسوية نهائية وملزمة.
11- الأحكام والشروط العامة:
11-1 الإخطارات
يجب أن تكون جميع الإخطارات التي ترسل بموجب هذا العقد كتابيا وتسلم باليد أو ترسل عن طريق الفاكس أو بالبريد المسجل ]الأرضي أو الجوي[. ويجب أن يكون عنوان كل طرف والذي ترسل عليه الإخطارات هو المذكور في هذا العقد. (إلا إذا أو إلى أن يتم تغيير العنوان بإخطار يتم تسليمه بموجب هذا البند).
الإخطار المرسل عن طريق البريد المسجل يتعين اعتبار أنه قد تم تلقيه بعد ثلاثة أيام عمل من تاريخ الإرسال بالبريد, أما الإخطار الذي يسلم باليد أو عن بالفاكس يتعين اعتبار أنه قد تم تلقيه في نفس يوم الإرسال إلا إذا أرسل بعد ساعات العمل العادية للمستلم، ففي تلك الحالة يتعين اعتبار الإرسال قد تم في اليوم التالي.
11-2 التأثير الملزم:
هذا العقد ملزم ونافذ المفعول لمصلحة الطرفين وممثليهم القانونيين والشركات الأم والورثة والمتنازل لهم.
11-3 التعديل:
لن يكون هناك أي تأثير لأي تعديل على هذا العقد ما لم يكن خطياً وموقعاً من قبل ممثل مفوض من كل طرف.
11-4 قابلية التجزئة:
إذا أصبح أي بند في هذا العقد غير صحيح أو غير قانوني أو الغي، فسوف يسعى الطرفان، بحسن نية، للموافقة على مصطلحات البند الذي قد يتم استبداله مكان البند الغير صحيح. ولن تؤثر عدم صحة أي بند أو إلغائه أو عدم شرعيته على باقية بنود العقد.
11-5 التنازل:
لا يتعين اعتبار أن فشل أي طرف في تطبيق أي بند من بنود هذا العقد يشكل تنازلاً عن هذا البند، ولا يؤثر ذلك على حق هذا الطرف في تطبيق هذا البند لاحقاً.
11-6 النسخ واللغة:
حرر هذا العقد من نسختين أو أكثر باللغة الإنجليزية، وتعتبر جميع النسخ أصلية، ولكن جميعها تشكل عقد واحد وهو نفس العقد.
11-7 العناوين:
عناوين البنود المذكورة في هذا العقد كتبت للتسهيل فقط ولكنها لا تشكل جزءاً من هذا العقد ولا تؤثر في تفسيره.
11-8 العقد كامل الاتفاق:
هذا العقد والملحقات المرفقة به، والتي تشكل جزءاً لا يتجزأ منه، يشكل العقد الكامل للطرفين فيما يتعلق بموضوع هذا العقد، ويلغي جميع الاقتراحات السابقة سواء كانت شفهية أو مكتوبة، صريحة أو ضمنية، وجميع المفاوضات أو المحادثات أو المناقشات التي حدثت حتى الآن فيما يتعلق بموضوع هذا العقد.
وإشهادا لما تقدم قام الطرفان بتنفيذ هذا العقد عن طريق موظفيهم الممثلين لهم في التاريخ المذكور أعلاه.
