Hi all,

The above combination of terms is used in a dispute between a company's tax advisor and the German tax authorities over whether a transaction between two companies in a group was subject to USt.

The term refers to the condition under which a transaction can be considered to be a real sale of goods or services.

The Verschaffung der Verfügungsmacht includes within it the "Übergang von wirtschaftlicher Substanz, Wert und Ertrag" of the article being purchased.

Can anyone suggest a suitably elegant translation of both terms: "Verschaffung der Verfügungsmacht" and "Substanz, Wert und Ertrag"?

"Die Verschaffung von Verfügungsmacht beinhaltet den von den Beteiligten endgültig gewollten Übergang von wirtschaftlicher *Substanz, Wert und Ertrag* eines Gegenstands vom Leistenden auf den Leistungsempfänger."

Capital value, worth, and yield

Die Verschaffung von Verfügungsmacht beinhaltet den von den Beteiligten endgültig gewollten Übergang von wirtschaftlicher *Substanz, Wert und Ertrag* eines Gegenstands vom Leistenden auf den Leistungsempfänger."

The procurement ( obtaining) of control over assets , capital value (Substanz), worth ( possible increases/decreases in current value) and yield ( i.e, possible accruals through ownership, in interest gained ( yield on investment, sell-on profit, etc;)
Hence " the procurement of conrol over assets" includes the desired transfer of capital value, with its attendant worth and yield (i.e, in accordance with the wishes of the parties involved) and constitute an object between the contributor and the beneficiary
( 'Leistender' and 'Leistungsempfänger= the contributing party and the benefitting party- maybe there's a better term than 'contributor' and beneficiary!)

Hi Jaime, how about something along those lines: "With the power of disposal the xy obtains/ takes over the value and added value of the object in question in its entirety... "

"The procurement of assets" and "economic substance, value, and earnings"

I think the sentence means: The procurement of assets includes the transfer of an asset’s economic substance, value, and earnings from the payer to the recipient, as ultimately intended by the parties.

VAT law here, which sometimes has a vocabulary of its own.

From memory, the German collocation "wirtschaftliche Substanz, Wert und Ertrag” goes back to a BFH (or maybe BGH) ruling on the characteristics of transactions that meet the criteria for eligibility to reclaim input tax, and hence are subject to VAT.

Note that the first term is “wirtschaftliche Substanz”, not just “Substanz”. Normally, the “wirtschaftliche Substanz” of a transaction is its “commercial substance”, but this is tax law here, where the “economic substance” of a good or service ("supply” in VAT-speak) is the relevant term. "Wert” is perhaps surprisingly straightforward, whereas “Ertrag” here means the cash flows associated with (or attributable to) the item.

In the language of VAT, a “Leistender” is a “supplier”, and a “Leistungsempfänger” is a “recipient":
