Ich weiß, diese Begriffe sind im Forum schon mehrmals durch die Mangel genommen worden, aber in den von mir bearbeiteten Dokumenten immer noch unklar.

ARTICLES OF INCORPORATION

INCORPORATED
IN
THE REPUBLIC OF THE MARSHALL ISLANDS
PURSUANT
TO
THE BUSINESS CORPORATIONS ACT

Es folgt die Erwähnung von Zweck, Kapital und dann im Einzelnen Offices, Shareholders etc.

Später folgen noch Sätze wie: Within the limits fixed by these bylaws... (sind die dann mit den articles of incorporation identisch?)

In einem anderen Dokument, auch für eine private limited company, heißt es:

REPUBLIC OF SEYCHELLES

BUSINESS CORPORATIONS ACT

MEMORANDUM OF ASSOCIATION
AND
ARTICLES OF ASSOCIATION


Dort werden ebenfalls Infos wie die oben angegeben, d. h. Zweck, Kapital usw.

Ich hab all eure Infos gelesen, aber da diese Dokumente in einem Satz an Unterlagen erscheinen, möchte ich das schon genau hinkriegen/abgrenzen.

Oder hat das nur damit zu tun, dass dies auf den Marshallinseln und den Seychellen eben anders gehandhabt/benannt wird?

Und was ist eigentlich der Unterschied zwischen diesen articles of incorporation und den articles of association?

Articles of association und articles of incorporation sind gleich. Der Unterschied besteht darin, dass sie in einigen Rechtssystemen unterschiedlich bezeichnet werden und es kann auch natürlich sein, daß darunter die Marshallinseln und die Seychellen kommen:
